Form 990, Part XII, Line 2C

Oversight of the audit: the audit committee consists of 5 foundation board members. The controller provides information to the auditors. Once an audit draft is prepared, the controller reviews the documents and sends the draft to the audit committee chairman and foundation ceo for review and comment. The audit committee meets with the auditors, the ceo and the controller and approves the report. The audit committee also meets with the auditor in closed session for any comments from the auditor. The audit committee chairman recommends approval of the audit to the executive committee and the foundation board. All receive copies. Selection of an independent accountant: 1. The audit committee chairman and the controller solicit proposals from area firms. 2. The audit committee meets with the controller to discuss proposals and selects several for interviews. References are called. 3. The audit committee and controller interview auditors and make a selection. The selection is approved by the board.

PART V, LINE 4:

The board has established a maximum spending rate of 3.5 percent of the average of the previous 12-quarter asset values of the foundation endowment. The foundation may use all the current year's annual income (dividends and interest) from the endowment up to the maximum spending rate calculated above. The foundation may elect not to spend all, or a portion, of the foundation endowment spending provided above if not needed to operate the foundation and/or the museum. In this case, the unspent funds will remain in the endowment. These unspent funds will not carry over and will not be available for withdrawal as part of any future year's annual income.
