Governance Explanations

Form 990, Part VI, Section A, Line 6

The credit union's members have rights to elect the members of the governing body. The credit union's members also receive a share of the organization's profits in the form of cash dividends.

Form 990, Part VI, Section A, Line 7A

Members of the credit union have the right to elect one or more members of the organization's governing body, whether periodically, or as vacancies arise, or otherwise.

Form 990, Part VI, Section A, Line 7B

Members of the credit union have the right to approve the governing body's election and removal of members of the governing body, as well as other matters that are subject to the approval of members of the credit union as they occur.

Form 990, Part VI, Section B, Line 11

Form 990 is reviewed by the president prior to filing with the irs. A copy of form 990 is provided to the board of directors after the return is filed with the irs.

Form 990, Part VI, Section B, Line 12C

A review for conflicts of interest is performed by external auditors and an internal review is completed by management staff.

Form 990, Part VI, Section B, Line 15

The ctecu board requires the president/ceo to provide salary surveys from the texas credit union league (aka: cornerstone credit union league) on comparable ceo salaries across texas and different asset size credit unions. The chairman of the board meets with the executive committee of the board (made up of the chairman, vice-chairman, treasurer, and secretary). The chairman then sends a recommendation from the executive committee to the rest of the board of directors.

Form 990, Part VI, Section C, Line 19

Ctecu posts their annual meeting report packet that includes the annual financial statements on its website: www.ctecu.org. Ctecu does not make its governing documents or conflict of interest policy available to the general public. The financial data is also available on www.ncua.gov on a quarterly basis via the form 5300 call reports.
