Governance Explanations

Form 990, Part VI, Line 1A Delegate broad authority to A committee

The executive committee is composed of the chair of the board, the vice chair of the board, the secretary (if a member of the board), and chair of each of the other standing committees. The executive committee shall have full authority to advise with the president, execute orders and/or specific assignments of the board, and to transact such emergency business as in its opinion may demand action between board meetings. The executive committee may consult with the president to coordinate the work of the board, plan all general meetings of the board, maintain the covenant relationship with the synod of the sun, presbyterian church (usa), and perform such other duties as shall be assigned by the chair of the board or the board itself. The executive committee shall act as a nominating committee for the board of trustees. Any actions of the executive committee shall be reported to the board and shall be included in the official minutes of the board.

Form 990, Part VI, Line 11B Review of form 990 by governing body

Form 990 is prepared by the cpa firm from the audited financial statements. The form and all supporting schedules are reviewed by the controller and officers of the university. The form 990 is then provided to the chairs of the audit committee via email and is part of the audit committee agenda for discussion and review. After audit committee review and resolution of all questions, the return is filed electronically per irs requirements.

Form 990, Part VI, Line 12C Conflict of interest policy

Schreiner university has a conflict of interest policy that covers members of the board of trustees and a policy that covers all administrators, faculty and staff. Every member of the board of trustees shall execute and deliver to the office of the president annually, on a form to be provided by the university, a certification that he or she has read the conflict of interest policy, understands it, and to the best of his or her knowledge and belief has complied with it fully in the past and will in the future comply fully with it. When it becomes apparent to a trustee that a matter pending before the board gives rise to a conflict of interest, the trustee shall immediately disclose his conflicting interest to the board. He shall thereafter take no part in the deliberations on the matter, and shall refrain from voting thereon. In order to avoid the improper disclosure to the conflicted trustee of sensitive information, he shall, on the request of the chair of the board or a majority vote of the board, absent himself from the board room while the matter is under deliberation. The vice president for planning and finance is responsible for the oversight of the policy over all administrators, faculty and staff. Any employee who has any influence on transactions involving university purchases, contracts, leases, or business matters must disclose the existence of any actual or potential conflict of interest to the vice president of planning and finance as soon as possible through prompt and complete disclosure so that safeguards can be established to protect all parties. Key employees annually, on a form to be provided by the university, a certification that he or she has read the conflict of interest policy, understands it, and to the best of his or her knowledge and belief has complied with it fully in the past and will in the future comply fully with it.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

The executive assessment and compensation committee is responsible for recommending annually to the board a compensation package for the president that is competitive relative to the university's peer institutions, recognizes performance, and allows the university to retain highly capable presidential leadership. Schreiner university submits salary information based on position job code as part of the participation agreement with college and university professional association human resources (cupahr). To accurately measure a competitive position among comparable institutions, salary benchmarking analysis is reflective of current benchmarking standards from cupahr. The values are assessed annually and the analysis is shared with the executive assessment and compensation committee to determine compensation of the president. The committee's recommendations are submitted for review and action by the executive committee by the may meeting, with final action by the board in executive session in may. All proceedings are documented within meeting minutes. Regarding other key employees, the president similarly will conduct annual performance reviews of each of these individuals, and will report annually compensation adjustments for these employees.

Schreiner University maintains a collection of works of art that is held for educational purposes. The collection is used in furtherance of the University's instructional programs and academic mission and is integrated into teaching, learning, and cultural enrichment activities. Works from the collection are displayed publicly throughout the campus and are accessible to students, faculty, and the general public.

Schedule D, Part V, Line 4 Intended uses of endowment funds

Schreiner university receives an annual distribution of the liquid assets of the invested endowment funds to further university operations in order to meet the mission of the university. The main intention is to use these funds to provide scholarships to students.
