The general counsel for the organization reviews the written conflict of interest policy with the officers, directors and key employees before the policy is signed and conflicts disclosed. The general counsel follows up on any conflicts and takes appropriate action to resolve the conflicts.

An outside salary consulting firm has determined grades for every position in the organization and the board of directors has approved each grade. Each year, the personnel director contacts the independent outside firm for recommended salary increase. The personnel director and cfo then meets with the compensation committee(the board officers of the organization plus one more director) and relays the recommended salary increases. The compensation committee also reviews each grade level in the organization. The compensation committee then recommends to the entire board of directors the amount of the salary increases, and after the board approves the amount, the cfo and personnel director implements the recommendation. The organization's executive director is included in the salary administration plan, so his grade level has been determined by the independent salary consulting firm as well.

Royalties consist of $2,182,110 from sfb life insurance company, of which texas farm bureau owns 10% of the stock; $5,102,908 from tfb casualty company, a controlled subsidiary of texas farm bureau; and $4,029,790 from tfb mutual insurance company, of which texas farm bureau does not own any of the stock, but shares the same board of directors as the insurance company.

Financial Statement Notes

PART X, LINE 2:

Income taxes texas farm bureau and its related nonprofit corporations derive revenue from membership dues and other activities and are generally not subject to federal income taxes. However, income from certain activities not directly related to the company's tax-exempt purpose is subject to taxation as unrelated business income. Income taxes for corporate for-profit subsidiaries are accounted for under the asset and liability method. Deferred tax assets and liabilities are recognized for the future tax consequences attributable to differences between the financial statement carrying amounts of existing assets and liabilities and their respective tax bases and operating loss and tax credit carryforwards. Deferred tax assets and liabilities are measured using enacted tax rates expected to apply to taxable income in the years in which those temporary differences are expected to be recovered or settled. The effect on deferred tax assets and liabilities of a change in tax rates is recognized in income in the period that includes the enactment date. The company recognizes the effect of income tax positions only if those positions are more likely than not of being sustained. Recognized income tax positions are measured at the largest amount that is greater than 50% likely of being realized. Changes in recognition or measurement are reflected in the period in which the change in judgment occurs. The company records interest related to unrecognized tax benefits and penalties in general and administrative expenses.

DEFERRED TAX ASSETS AND LIABILITIES ARE MEASURED USING ENACTED TAX RATES EXPECTED TO APPLY TO TAXABLE INCOME IN THE YEARS IN WHICH THOSE TEMPORARY DIFFERENCES ARE EXPECTED TO BE RECOVERED OR SETTLED. THE EFFECT ON DEFERRED TAX ASSETS AND LIABILITIES OF A CHANGE IN TAX RATES IS RECOGNIZED IN INCOME IN THE PERIOD THAT INCLUDES THE ENACTMENT DATE. THE COMPANY RECOGNIZES THE EFFECT OF INCOME TAX POSITIONS ONLY IF THOSE POSITIONS ARE MORE LIKELY THAN NOT OF BEING SUSTAINED.
