A draft copy of Form 990 is discussed with the Audit Committee, a draft copy of compensation related disclosures (Part VII and Schedule J ) is shared with the Compensation and Organizational Development (CORD) Committee of the Board of Trustees and the final Form 990 is provided to all of the trustees before it is filed. The Form 990 is prepared by the Controller's Office in consultation with other University offices, reviewed within the Controller's office, the office of General Counsel and Human Resources, reviewed by PricewaterhouseCoopers as the paid preparer, reviewed by the Vice President for Finance and the President together with senior management before it is provided to the trustees.

Form 990, Part VI, Line 12C Conflict of interest policy

A conflict of interest questionnaire is completed annually by officers, directors, trustees, key employees and other disqualified persons. Members of the University's Board of Trustees and senior management may, from time to time, be associated, either directly or through interlocking board memberships, with entities doing business with the University. The University employs a conflict of interest policy that requires any such associations be disclosed in writing on an annual basis. When such associations exist, measures are taken to mitigate any actual or perceived conflict, including recusal of the board member from any decisions involving the entity doing business with the University. The transactions with the entities associated with trustees or senior management are not considered to be significant and may include investment management, common participation in investment vehicles, or the purchases of goods or services. When the University enters into such transactions, the prices are set at fair market value and the terms are no less beneficial than those offered to others in the ordinary course of business.

Schedule D, Part III, Line 4 Collections of art - description of collections

The University accepts, from time to time, donations of art, historical treasures or similar assets. Such items are available for public exhibition and scholarly research. The University is a steward of these assets, preserving them for future generations. The asset amount reported for art held for public exhibition includes the construction and installation costs for outdoor sculpture.

Schedule D, Part V, Line 4 Intended uses of endowment funds

The University's endowment earnings distribution policy guides the rate at which funds are released from the endowment for current spending. The policy reflects the desire to balance the current resource needs of the University with the long-term objective of preserving the purchasing power of the endowment for future generations and ensuring reasonable year-over-year stability of future endowment payouts. Under the policy, allowable endowment spending is between four percent and six and one-half percent of the trailing three year average endowment market value, with a targeted range of four and one-half percent to five and one-half percent in the intermediate range. Endowment contributions include Board-approved transfers from other institutional funds and other additions for which there is no specific line on the schedule.

The University is exempt from federal income tax to the extent provided under Section 501(c)(3) of the Internal Revenue Code. The IRS issued a determination letter in January 1938 that recognized the University as exempt from federal income tax under Section 501(c)(3). The IRS confirmed in 2008 that this exemption still applies. The University has 10 subsidiary corporations that are included in the consolidated financial statements. Two of these subsidiary corporations are exempt from federal income taxes under 501(c)(2), one is exempt under 501(c)(3), one is exempt under 501(c)(4), four are exempt under 501(c)(25) and two are subject to taxation. The University is classified as an organization that is not a private foundation under Section 509(a) of the Internal Revenue Code because it is described in Sections 509(a)(1) and 170(b)(1)(A)(ii) and, as such, gifts to the University qualify for deduction as charitable contributions to the extent provided by law. The University and its subsidiary corporations that are exempt from federal income tax are required to pay federal income tax on unrelated business income. The amount of income tax expense for unrelated business income for the University and its subsidiary corporations was immaterial for the years ended June 30, 2019 and 2018, respectively. The Tax Cuts and Jobs Act of 2017 (the Act) contained a provision affecting private colleges and universities with at least 500 tuition-paying students and assets of at least $500,000 per student. Because the University meets those criteria, beginning in fiscal 2019 it became part of a small group of universities that are subject to an excise tax of 1.4% on the University's net investment income and the net investment income of its subsidiary corporations. The excise tax is an expense that is recognized as a reduction of the University's investment returns. The University and its subsidiary corporations recorded an estimated income tax liability of $7,500 for the excise tax for the year ended June 30, 2019. The University has reflected the tax liabilities in the financial statements based on reasonable estimates under the currently available regulatory guidance on the Act. US GAAP requires the University to evaluate its tax positions to recognize a tax liability (or asset) if the University has taken an uncertain tax position that, more likely than not, would not be sustained upon examination by the IRS. Rice University is accredited by the Southern Association Of Colleges And Schools Commission On Colleges (SACS-COC), Accreditation Board For Engineering And Technology (ABET), International Association for Management Education (AACSB International), National Architectural Accrediting Board (NAAB), and the Texas Education Agency (TEA). Rice serves approximately 4,000 undergraduate and 3,000 graduate students, as well as 13,000 life-long learners. For the cohort entering Fall 2013 the six-year undergraduate graduation rate is 92.6 percent. Rice offers more than 50 undergraduate majors across six schools of study: Social Sciences, Natural Sciences, Engineering, Humanities, Music and Architecture. The Jones School of Business launched an online MBA program, Mba@Rice, to deliver education to working professionals with extensive experience who may not have the option to study on campus.
