Governance Explanations

Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder

The texas telephone association (tta) has three classes of membership: active members, associate members, and honorary members. Tta's active member companies are the incumbent local exchange carriers (ilecs) certificated by the public utility commission of texas to provide telephone service in their respective areas in texas under the auspices of a certificate of convenience and necessity. The associate members include companies other than ilecs who provide related telecommunications services and products to the local exchange industry. Tta's associate members work closely with tta's active member companies to provide and maintain economical, efficient, and reliable local telephone service. All tta members ascribe to a code of ethics based on the premise that the primary commodity provided is service to their customers.

Form 990, Part VI, Line 7A: How Members or Shareholders Elect Governing Body

Texas telephone association (tta) members elect the board of directors. Active members are entitled to one vote; associate members and honorary members are not entitled to vote.

Form 990, Part VI, Line 7B: Describe Decisions of Governing Body Approval by Members or Shareholders

The bylaws of the texas telephone association (tta) may be amended or repealed only by a vote of two-thirds of the active members present at any regular meeting of tta, or at a special meeting provided notice of such proposed amendments have been sent to the membership by the secretary of tta at least two weeks prior to such meeting. Proposed changes must be furnished to the members at least two weeks prior to the annual or special meeting at which the vote is taken.

The board of directors of texas telephone association (tta) determines the compensation of the president of tta based on a compensation survey, his experience and performance. Other officers of the organization do not receive compensation of any kind. The president of tta makes recommendations to the board of directors for compensation of other employees based on their experience and performance. There are no employees of the organization that fit the irs definition of a key employee.

Other program services 4: texas telephone association (tta) communicates to its members through various publications. Tta works to maintain its members' awareness of current events and developments through weekly member update reports detailing the latest industry-related developments and a calendar of industry events. Periodical bulletins are also sent to all active members. Tta provides an annual member handbook providing a detailed look at the association and its members including a directory of all current members and associate members. Lastly, tta prepares a full-color, up-to-date map of the local incumbent exchange service areas in texas.

The complete board of directors of texas telephone association (tta) assumes responsibility for the oversight of the review of tta's financial statements and selection of the independent accountant to perform the review. "The Association adopted the "uncertain tax positions" provisions of accounting principles generally accepted in the United States of America. The primary tax position of the Association is its filing status as a tax exempt entity. The Association determined that it is more likely than not that their tax positions will be sustained upon examination by the Internal Revenue Service (IRS), or other State taxing authorities. The Association is no longer subject to examinations by federal taxing authorities for years before 2011."
