Governance Explanations

Form 990, Part VI

Serena bumpus, julia menegay, mary pakarinen, brandon bredimus, and edtrina moss are board members and/or officers of a related organization.

Form 990, Page 6, Part VI, Line 4

During the fiscal year, the organization amended its bylaws to: 1.amend article ix, section 5 to add subsection j, which gave the board the responsibility of developing qualifications for officer positions. 2.amend article x, section 1, to change subsection b, to increase the number of members on the leadership succession committee.

Form 990, Page 6, Part VI, Line 6

Membership consists of three options. Tri-level - tna/ana/district membership, state-wide tna membership, and bi-level - tna/ana membership. A license to practice as a registered nurse or licensed vocational nurse (lvn) is required for membership eligibility. In addition to tna's registered nurse membership classifications, tna began a pilot program for lvn membership to test whether membership could be expanded to include lvns. Lvn members were added to tna membership through a pilot program that did not include voting rights.

Form 990, Page 6, Part VI, Line 7A

Tri-level and bi-level members can vote on tna officers, boards members, and nominating committee and other elected officials. Tna direct members are entitled to vote for tna board members and nominating committee but not for tna officers or membership assembly representitives.

Form 990, Page 6, Part VI, Line 7B

Members are allowed to participate in statewide votes.

Form 990, Page 6, Part VI, Line 11B

The audit & finance committee will conduct a formal review of the tax return with the preparing cpa and recommend approval to the tna board of directors. The tna board of directors will review the tax return with preparing cpa and approve the filing of the return.

Form 990, Page 6, Part VI, Line 12C

Organization monitors and enforces compliance with the conflict of interest policy on a regular basis at board meetings. The board of directors of the organization must sign an annual statement.

Form 990, Page 6, Part VI, Line 15A

The board of directors conducts an annual performance review of the chief executive officer and determines any appropriate increase in base salary as well as whether or not to award any additional discretionary salary in the form of a bonus based on performance. The board also refers to data from a salary survey of associations. The ceo determines the base salary for all other staff, and reviews those annually to determine what increases or bonuses should be awarded.

Form 990, Page 6, Part VI, Line 19

Upon request, copies of the 990 and exemption letter will be provided in a timely manner and a reasonable charge may be made. Any other request for the association records should be in writing and referred to the ceo.

Form 990, Page 2, Part III, Line 2

Dietrich scholarship process description: the texas nurses association a. Louise dietrich scholarship policy was established during the current fiscal year, and has written procedures for scholarship eligibility, application, and dissemination of awarded funds. Students must be currently enrolled in an rn-bsn or graduate nursing program and have at least one semester left to complete their studies at the time the scholarship is awarded. They must have been a member of tna for at least one year as of the date of application for the scholarship and have a cumulative gpa of 3.0/4.0 scale (or equivalent). Tna board members, tna scholarships committee members and tna staff, and their respective family members, are not eligible. At least one scholarship is designated for a member in a rn-bsn program. The application process requires students to submit college transcript(s), resume/cv, letters of recommendation, and a short essay regarding past achievements and future goals as a registered nurse, how tna membership has helped with their nursing career, their plan for career goal achievement, etc. Tna board-appointed scholarship committee members oversee the process and use a rubric in the evaluation of the applications, essays, and submitted materials. Scholarship recipients and their respective nursing programs are notified of the award. Scholarship awards are sent directly to the institution where the student is enrolled for tuition purposes. The amount and number of scholarships awarded is contingent on the annual amount budgeted for scholarships by the tna board in the budget process.

Financial Statement Notes

Schedule D, Page 3, Part X

The association is a nonprofit organization exempt from federal income taxes on its operating income under section 501(c)(6) of the internal revenue code, except to the extent of unrelated business income, if any. The most significant tax positions of the association are its assertion that it is exempt from income taxes and its determination of whether any amounts are subject to unrelated business income tax (ubit). The association leases office space in its debt-financed building and receives advertising income. The internal revenue service (irs) considers these as business income unrelated to the associations tax exempt status. The association incurred ubit of approximately 12,574 (per the 2023 form 990-t) for the fiscal year ended june 30, 2024. All significant tax positions have been considered by management and it has determined that it is more likely than not that all tax positions would be sustained upon examination by taxing authorities.

IRS990/ProgSrvcAccomActy2Grp/Desc0GOVERNMENT AFFAIRS PROGRAMS ADVANCE THE QUALITY AND SAFETY OF PATIENT CARE THROUGH POLICY INITIATIVES THAT OPTIMIZE PROFESSIONAL NURSING PRACTICE, ADVANCE POSITIVE NURSING PRACTICE ENVIRONMENTS, AND PROMOTE FULL USE OF THE KNOWLEDGE AND SKILLS OF NURSES. INITIATIVES ARE IMPLEMENTED THROUGH INTERACTION WITH THE LEGISLATURE AND SELECT AGENCIES WHICH AFFECT NURSING AND HEALTH CARE. COMMUNICATIONS IN VARIOUS FORMATS (E.G., PUBLICATIONS, EDUCATIONAL ACTIVITIES, DIALOGUE FORUMS) INFORM NURSES REGARDING LAWS AND REGULATIONS AFFECTING THEIR PRACTICE.
IRS990/ProgSrvcAccomActy3Grp/Desc0TNA ADDRESSES ACADEMIC NURSING EDUCATION THROUGH INTERNAL COMMITTEE WORK AS WELL AS COLLABORATIVE ACTIVITIES WITH OTHER ASSOCIATIONS (E.G., THE TEXAS ASSOCIATION OF DEANS AND DIRECTORS OF PROFESSIONAL NURSING PROGRAMS) AND GOVERNMENTAL AGENCIES (E.G., TEXAS BOARD OF NURSING, TEXAS HIGHER EDUCATION COORDINATING BOARD). ADDITIONALLY, THE AMERICAN NURSES CREDENTIALING CENTER RECOGNIZES TNA AS AN ACCREDITED PROVIDER IN WHICH TNA PROVIDES CONTINUING NURSING PROFESSIONAL DEVELOPMENT PROGRAMS FOR LICENSED NURSES.
IRS990/ProgSrvcAccomActyOtherGrp/Desc0DIETRICH SCHOLARSHIP PROCESS DESCRIPTION: THE TEXAS NURSES ASSOCIATION A. NURSING PRACTICE PROGRAMS PROVIDED BY TNA INCLUDE: EDUCATIONAL SESSIONS, INFORMATIONAL MATERIALS, AND OTHER RESOURCES FOR NURSES ON PRACTICE ISSUES (E.G., INFECTIOUS DISEASE, NURSE STAFFING, ADVOCACY, PATIENT SAFETY, POLICY ISSUES), MEMBER COMMITTEE SUPPORT AND FACILITATION, A MEMBER PRACTICE RESOURCE LINE, AS WELL AS INFORMATIONAL MATERIALS AND RESOURCES FOR PATIENTS.
