During the year, the association amended its bylaws to: - replace the vice president position with alternating president-elect or immediate past president positions; - designate one board of diretor seat as a small district director; - remove the requirement for run-offs in elections by the tna membership by allowing the candidate with the most votes in an election to win, regardles of whether those votes are at or above 50% of the total votes cast; - require the president-elect or immediate past president, whichever is serving, to serve as ana membership assembly representatives.

Membership consists of three options. Tri-level - tna/ana/district membership, state-wide tna direct membership, and bi-level - tna/ana (pilot) membership. A license to practice as a registered nurse is required for membership eligibility.

Tri-level and bi-level members can vote on tna officers, board members, and nominating committee and other elected officials. Tna direct members are entitled to vote for tna board members and nominating committee but not for tna officers or membership assembly representitives.

Organization monitors and enforces compliance with the conflict of interest policy on a regular basis at board meetings. The board of directors of the organization must sign an annual statement.

The board of directors conducts an annual performance review of the executive director and determines any appropriate increase in base salary as well as whether or not to award any additional discretionary salary in the form of a bonus based on performance. The executive director determines the base salary for all other staff, and reviews those annually to determine what increases or bonuses should be awarded.

Financial Statement Notes

PART X, LINE 2:

The most significant tax positions of the association are its assertion that it is exempt from income taxes and its determination of whether any amounts are subject to unrelated business income tax (ubit). The association has determined they have unrelated business income during the year ended june 30, 2018 and thus the profit from these activities is subject to federal income taxes. The association incurred approximately $2,584 in ubit for the year ended june 30, 2018. All significant tax positions have been considered by management and it has determined that it is more likely than not that all tax positions would be sustained upon examination by taxing authorities.
