“Careersource pinellas shall have an executive committee consisting of the officers, the chairs of the standing committees, past chair, and five at-large members appointed by the chairperson. The executive committee shall have and exercise the authority of the board of directors in the governance of the affairs of careersource pinellas with the exception of adopting, repealing, or amending these by-laws. Delegation of this authority to the executive committee shall not relieve the board of directors or any individual director of any responsibility imposed on it, or him or her, by the bylaws or by any applicable law.”

When the worknet pinellas board or one of its committees is to decide upon an issue about which a member has an unavoidable conflict of interest, it is the responsibility of that member to declare the conflict, publically recuse him or herself from the vote and complete the required conflict of interest form prior to leaving the meeting. Worknet pinellas and its board of directors shall follow the careersource florida policy on doing business with board members which includes requiring an affirmative vote of 2/3 majority of the quorum present and, in some circumstances, submitting notification and required supporting documentation to deo and careersource florida when the worknet pinellas board votes to purchase goods or services from a board member.”

“Compensation of the president/ceo and other employees is determined utilizing a review of salary ranges of comparable agencies in the state of florida conducted by a third party. An evaluation procedure is utilized to determine the amount of any salary increase. The allowable percentages are reviewed/recommended by the compensation committee to the executive committee who in turn recommends to the board.”

“The organization makes its governing documents, conflict of interest policy and financial statements available to the public upon request.”
