The orfalea fund leases all employees from a related organization and delegates all payroll, benefits, and human resource matters to them.

Form 990, Part VI, Section B, Line 11

The audit committee of the orfalea fund reviews the initial draft of the audited financial statements and form 990 prior to the distribution to all voting members of the board for their review and approval at a board meeting. If no in-person board meeting is scheduled at the time the form 990 is due, copies of the draft will be circulated to all voting board members by mail and email for review. Any action that the board is required to make may be taken without a meeting if all board members consent in writing to the action. Action by written consent shall have the same force and effect as any other validly approved action of the board. All such consents shall be filed with the minutes of the board. Upon approval of the form 990 by the board, an officer of the orfalea fund will sign the forms and file with the required governmental agencies.

Form 990, Part VI, Section B, Line 12C

The orfalea fund conflict of interest policy states: 1) any affiliation with applicant nonprofit organizations on the part of the board of directors shall be disclosed to the fund and made a matter of record through an annual procedure at the annual board meeting by signing an annual disclosure statement. In addition, any financial interest on the part of the board of directors, directly or indirectly, shall also be disclosed annually at the annual board meeting. If such relationships are initiated during the year, the fund shall be informed that the relationship then exists. 2) all fund grant review and allocation meetings will begin with a disclosure of any conflict of interest issues. Any director having a conflict of interest shall not vote or use his or her personal influence on the matter, and he or she shall not be counted in determining the quorum for the meeting. The minutes of the meeting shall reflect that a disclosure was made, the conflicted member abstained from voting, and the member's exclusion in determining a quorum. 3) any new director will be advised of this policy prior to entering the duties of his or her office. 4) a director who is appointed by the santa barbara foundation is not required to abstain from a vote with respect to a grant to the santa barbara foundation unless such director has a personal financial interest that will be affected by the grant to the santa barbara foundation. A like standard applies to the fund staff. All such policies are also applicable to any member of one's immediate family, or any person acting on his or her behalf, who currently serves as trustee, director, consultant, committee member, or in any other official capacity with any entity with which the fund has a relationship. Directors and fund staff are required to attest annually to their familiarity with the conflict of interest policy by signing a written acknowledgement that they have received, understand and agree to comply with the policy.

Compensation process for top official - the process for determining the compensation of the fund's president includes an annual review and approval by the executive compensation committee. Comparability data from the grantmakers salary and benefits report, published annually by the council on foundations, is used as a reference and guide to determine reasonableness of compensation packages, as well as comparison of form 990 of other similar organizations in california. A completed self-assessment, performance appraisal, and periodic 360 degree written review from anonymous co-workers and fund associates is reviewed by the executive compensation committee. Substantiation of the deliberation and decision is recorded and kept on file. The orfalea fund, with rare exception, does not actively solicit charitable contributions and therefore does not allocate any expenses to fundraising. On occasion, other non-profit organizations have contributed funds in support of the orfalea fund's programs, such as the school food initiative.

THE VISION FOR OUR WORK IS TO CREATE HIGH QUALITY ECE CENTERS THAT SUPPORT CHILDREN IN ACHIEVING THEIR FULL POTENTIAL. WE SUPPORT ECE CENTERS IN SANTA BARBARA COUNTY TO BECOME NATIONALLY ACCREDITED BY THE NATIONAL ASSOCIATION FOR THE EDUCATION OF YOUNG CHILDREN BY PROVIDING FUNDS FOR CENTER-BASED IMPROVEMENTS, LEARNING COMMUNITIES, AND APPLICATION FEES. IN 2014, 32% OF SANTA BARBARA COUNTY CENTERS WERE CERTIFIED AS HIGH QUALITY, OVER EIGHT TIMES THE STATEWIDE RATE IN CALIFORNIA. THROUGH OUR GRANT TO THE SANTA BARBARA COUNTY CHILDCARE PLANNING COUNCIL, WE PROVIDED PROFESSIONAL DEVELOPMENT FOR 40-50 ECE CENTER DIRECTORS AND TEACHERS EACH QUARTER AND THROUGH A MULTI-YEAR GRANT TO THE CHILD EDUCATION CENTER FOR OUR PRESCHOOL FOOD & HEALTHY HABITS PROJECT, WE WORKED WITH 90 ECE CENTERS IN THE COUNTY TO IMPROVE THEIR PHYSICAL ACTIVITY AND FOOD QUALITY PRACTICES.
