During the current tax year, OKLAHOMA CITY UNIVERSITY AMENDED AND RESTATED THE BYLAWS. THE EXECUTIVE COMMITTEE WILL NOW CONVENE A SUBCOMMITTEE COMPROMISED OF THREE TO FIVE BOARD MEMBERS, WHICH SHALL CONDUCT AN ANNUAL UNIVERSITY PRESIDENT PERFORMANCE EVALUATION. THE SUBCOMMITTEE SHALL REPORT ITS FINDINGS AND ANY RECOMMENDATIONS TO THE EXECUTIVE COMMITTEE BY JUNE 15 OF EACH YEAR. THE EXECUTIVE COMMITTEE WILL NOW ANNUALLY REVIEW THE FINDINGS AND RECOMMENDATIONS OF THE SUBCOMMITTEE ON PRESIDENTIAL PERFORMANCE, OVERSEE THE PERFORMANCE MANAGMENT OF THE PRESIDENT INCLUDING EVALUATION OF THE PERFORMANCE, COMPENSATION, BENEFTIS AND OTHER TERMS OF THE CONTRACT OF THE PRESIDENT OF THE UNIVERSITY.

An independent accounting firm prepares and reviews the 990. The 990 is then reviewed by the organization's president, chief financial officer and finance and audit committee of the board of trustees. Any questions and concerns the organization's president, chief financial officer and finance and audit committee of the board of trustees have are addressed and any corrections or clarifications that need to be made are made. The final form 990 with all required schedules is then provided to all voting members of the board prior to filing the 990.

Form 990, Part VI, Section B, Line 12C

University trustees, administrators, faculty, staff, and volunteers (covered individuals) are required to comply with the universities conflict of interest policy. Each trustee and senior administrator must acknowledge by his/her signature that he or she is currently in accordance with the letter and spirit of the policy and owes a continuing obligation of compliance with this policy. In connection with any actual or possible conflicts of interest, a covered individual must disclose the existence of such interest and must be given the opportunity to disclose all material facts to the board of trustees (board) and members of committees with board-delegated powers considering the proposed transaction or arrangement. After disclosure of the interest and all material facts, and after any discussion with the board, he/she shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. Procedures for addressing the conflict of interest: a) a covered individual may make a presentation at the board or committee meeting, but after such presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement that results in the conflict of interest. B) the chair of the board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. C) after exercising due diligence, the board or committee shall determine whether oklahoma city university can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. D) if a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the board or committee shall determine by a majority vote of the disinterested trustees whether the transaction or arrangement is in oklahoma city university's best interest and for its own benefit and whether the transaction is fair and reasonable to oklahoma city university and shall make its decision as to whether to enter into the transaction or arrangement in conformity with such determination.
