Governance Explanations

Form 990, Part VI, Line 11B: Form 990 Review Process

Each member of the governing board is provided with a copy of the proposed form 990 before signing by the corporate representative or filing with the irs. Board members are provided the copy either by mail or hand delivery and are afforded at least two weeks prior to the next scheduled board meeting to review the form 990 and to formulate any questions or obtain additional information regarding the form 990. Evidence of the hand delivery or mailing of the form 990 to the governing board is maintained in the corporate records. Discussion of the form 990 is placed on the agenda of the next scheduled monthly board meeting. The presence of the preparer (cpa) of the form 990 is requested at the board meeting, or in the alternative, the cpa is available for a telephone conference in the event any questions arise during the meeting. A formal motion and affirmative vote as to the acceptability and correctness of the form 990 is required before the corporate representative signs the form 990 and causes the form 990 to be filed with the irs.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

During early december of each year, members of the board and key employees are provided with a copy of the organization's "conflict of interest policy" along with a conflict of interest statement and certification. The board members are required to complete and execute the conflict of interest statement and certification. During the december board meeting, the statements and certifications are reviewed and discussed. At least once per year, the members of the board are provided with literature from the irs website or www.guidestar.org or other sources with information and education concerning what constitutes a conflict of interest. When an actual or potential conflict of interest is identified, discussions and any subsequent vote or decision regarding that issue is held outside of the presence of the board member having a conflict of interest.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

Comparability data that includes compensation levels paid by similarly situated organizations for similarly qualified individuals are obtained through sources such as www.guidestar.org, guidestar industry surveys, louisiana occupational employment wage survey, or an indenpendent consultant. The comparibility data is reviewed by members of the compensation committee (comprised of all members of the board with the exception of the ceo), outside of the presence of the individual whose compensation is being considered. A "rebuttal presumption checklist" is utilized and the decision of the compensation committee is then contemporaneously documented reflecting the amount and terms of compensation; the date of approval; the members who were present and voting; the comparability of data relied upon to make its decision; and how the data was obtained. The contemporaneous documentation is attached to and forms part of the board minutes.
