Form 990, Part VI, Section A, Line 6

The organization consists of members.

Form 990, Part VI, Section A, Line 7A

A nominating committee consisting of the past chair, current chair and the president/ceo review all nominations submitted. Members can submit nominations to the secretary 30 days prior to the election. The slate of officers is then submitted to the membership for approval.

Form 990, Part VI, Section A, Line 7B

Any changes to bylaws or articles of incorporation are approved by the membership. The changes are presented by the board of directors for a vote by the membership.

Form 990, Part VI, Section B, Line 11B

Auditors meet with the board finance committee to review in detail the year-end audited financial statements and form 990. Once this meeting has taken place, the board finance committee is responsible to recommend approval to the board of directors. Board members receive and review a hard copy of the audited financial statements and form 990.

Form 990, Part VI, Section B, Line 12C

Conflict of interest is addressed annually at a board meeting as part of the review of the annual audit. Each director, principal officer, or member of a committee with a board delegated authority is required to sign an annual statement confirming that they have received, read, understand, and agree to comply with the policy.

Form 990, Part VI, Section B, Line 15

For the ceo compensation, the most recent version of the asae "association compensation and benefit study" is used by the board for comparability data in determining the ceo's annual compensation. The ceo's compensation is reviewed and approved annually by the board and the deliberation and decision is documented in the board meeting minutes.

Form 990, Part VI, Section C, Line 19

The organization's form 990 is available to the public via the internet at www.guidestar.org. Additional information about the organization is available upon request.

Supplemental Narrative

Additional Explanations

FORM 990, PART XII, LINE 2C:

The board of directors assumes responsibility for oversight of the audit of the alliance safety council's financial statements and selection of an independent accountant.

Financial Statement Notes

PART X, LINE 2:

On january 1, 2009, the council adopted the provisions of interpretation ("fin") no.48, "accounting for uncertainty in income taxes-an interpretation of fasb statement no. 109" (asc 740). Asc 740 prescribes a new threshold for determining when an income tax benefit can be recognized, which is a higher threshold than the one imposed for claiming deductions on income tax returns. The adoption of asc 740 did not have any impact on the council's financial statements. The council's federal information return is subject to possible examination by the taxing authorities until the expiration of the related statute of limitations on the information return. In general, the federal information return has a three year statute of limitations. The council would recognize accrued interest and penalties associated with uncertain tax positions, if any, as part of the income tax provision.
