“In july 2017 the organization made the following changes to its bylaws: article iv board of directors section 4.1 number. The board of directors shall be composed of not less than nine (9) directors or more than thirteen (13) directors, unless this section of the bylaws is amended as set forth herein. The number of directors may be increased or decreased but in any event shall have no fewer than three directors at any time. Not more than five (5) but no fewer than three (3) directors shall be appointed by directors serving on the board as community representatives. Not more than eight (8) but no fewer than six (6) directors shall be appointed by the regional chief executive officer ("rceo") of the east hawaii regional system of the hawaii health system corporation ("hhsc"). Notwithstanding the above the majority of board members, whether they be appointed by the community or by the rceo, shall be residents of the puna district, county of hawaii. "section 4.2 qualifications. Directors appointed by the community shall be selected for their expertise in health care (both as professionals and consumers), community and legislative affairs, legal affairs, finance, social service, and any other areas deemed appropriate to the purposes of the corporation. Directors appointed by the rceo shall be selected for their expertise in healthcare administration, community affairs, legal affairs, finance, medical and nursing practice, human resources, and any other areas deemed appropriate to the purposes of the corporation. "section 4.3 term of office. Each director shall serve a term of two (2) consecutive years unless otherwise provided for in the articles of incorporation or these bylaws. Directors may be appointed for successive terms provided that no director shall serve more than six (6) consecutive years. A director may be reappointed to the board after an absence from the board for one (1) year. Term limits may be waived for good cause by the board of directors by simple majority vote. Terms of office shall commence on july 1 and end on june 30 of the second anniversary. The executive director of the corporation and the medical director of the corporation shall serve as ex-officio, non-voting members of the board”
