Governance Explanations

Form 990, Part VI, Section B, Line 11B

The chief executive officer and director of finance shall work in conjunction with the outside accounting firm engaged to prepare the form 990 to review its accuracy prior to review and submission. The finance committee shall review and approve the irs form 990 annual tax filing and submission. It is the duty of the finance committee to report its findings concerning the form 990 to the executive committee prior to submission. A board resolution is not required before filing.

Form 990, Part VI, Section B, Line 12C

Annually each director, principal officer and member of a committee with board-delegated powers shall sign a "conflict of interest policy annual affirmation statement" if a conflict of interest does exist the employee or board member may not be permitted to participate in the transaction decision. Should there be any dispute as to whether a conflict of interest exists, the board of directors shall determine whether a conflict of interest exists and shall determine the appropriate response.

Vnv is exempt from federal and state income taxes under the internal revenue code section 501(c)(6) and section 23701(d) of the california revenue and taxation code, except on net income derived from unrelated business activities. Vnv does not believe it has unrelated business income to be reported for income tax purposes. In addition, vnv believes it has appropriate support for any tax positions taken to date and, therefore, has no related income tax due for all years where the statute of limitations remains open, which is generally three years for federal filings and four years for california filings.
