Governance Explanations

Form 990, Part VI, Section A, Line 7B

A number of powers of the board either require a unanimous vote of the board or a vote of 2/3 of all members in attendance at an annual meeting to pass governance decisions. These powers include amendments to the restrictions, covenants and conditions;by-laws; the sale of common realty which requires 3/4 majority vote of members in attendance at an annual meeting.

The conflict of interest policy requires that no person related by blood or marriage to any member of the board of directors or residents of lake hillsdale estates who perform duties that handle money or personal information of employees or board members be this policy is enforced as all new employees must sign a form stating they know of the policy, and will face termination if found in violation. In addition, all new employees must be approved by majority vote of the board of directors.
