“The organization made the following changes to its bylaws: -Mission Statement: Mobile Community Action strives to empower the low income population to achieve maximum potential through the provision of advocacy, education, training, employment, and emergency support services. -Board Composition: The Board of Directors shall consist of twenty-four (24) members. -Board Sectors: Those potential members would complete a board resume, a conflict of interest statement, receive an orientation to the Agency and will require an approval of the Board before they are seated as a voting member. -Board Sectors, Public Sector: Public sector officials or their appointee cannot serve more than five (5) years. -Board Sectors, Community Sector: Members of the Community Sector shall be elected, every two (2) years from residents of the area served, at least one per county. Individual members of the Community Sector are limited to one five (5) year term of service. -Board Sector, Private Sector: Members of the Private Sector shall be residents of the area served. Private Sector members are limited to one, five-year term of service. -Board Advisory Group: Advisors to the Board can be unlimited in number and can come from any public, private or community organization. Advisors are recommended to the Board by the Board Chair and Executive Director and are voted onto the Board by majority vote. Advisors are non-voting Board members. -Board Member Terms: The terms of members serving as Head Start Policy Council representative may be for a one (1) to five (5) years. Community, Private, and Public Sector representatives may serve a maximum of five (5) years.”

“The Chief Financial Officer reviews the draft version of the Form 990 and compares the information to the annual audit to confirm information is accurate. After being cleared by the chief financial officer, the draft is presented to the Finance committee and the Board for their approval before being filed with the Internal Revenue Sevice.”

“Board members shall: not make a profit in any way in their outside employment or business interests from their association with the corporation; have an affirmative duty and obligation to disclose any conflict or potential conflict of interest involving any issue presented at the board meeting for a vote; members should abstain, where appropriate, from discussion or voting on these issues; not flaunt their board membership and attempt to intimidate employees to gain personal favors. Board members shall not abuse membership by using Agency staff, services, equipment, materials or property for their personal gain; and have an affirmative duty to disclose any and all family members who are employed in the Agency. The board member shall refrain from voting on actions affecting family.”

“The Executive Committee of the Board of Directors is responsible for ensuring that there is an annual evaluation of the Executive Director. The results and recommendations on salary adjustments are discussed with the full Board following the evaluation. Senior management salaries are determined by the Executive Director. The Board of Directors are made aware of salaries and changes.”

“The organization makes its governing documents, conflict of interest policy, and financial statements available the public upon request.”
