Mission

Nashville conflict resolution center (ncrc) works to provide access to justice for all tennesseeans. Through a restorative approach of mediation, we help people resolve legal crises quickly, safely, and effectively outside of a courtroom.

The nashville conflict resolution center's (ncrc's) mission is to help individuals and families resolve and move on from conflict. Ncrc works to ensure that all people in our community have access to mediation and can work together to safely resolve conflict and avoid litigation.

Governance Explanations

Form 990, Page 6, Part VI, Line 7A

The board chair leads the nomination process each year. He asks board members to submit names and bios of recommended candidates and then the full board votes on the new members each december for terms beginning in january.

Form 990, Page 6, Part VI, Line 11B

The organization will provide a copy of the form 990 to all members of the board for review, prior to filing. The board chair, executive committee (which includes the treasurer), executive director and bookkeeper review the form 990 to ensure accuracy. Once complete, the executive director will submit the form 990 to givingmatters.com (of the community foundation of middle tennessee) for public disclosure.

Form 990, Page 6, Part VI, Line 12C

Officers, directors, trustees and key employees discuss potential conflicts of interest whenever relevant during employee interviews, and board and executive committee meetings. The organization will review its conflict of interest policy at the beginning of each calendar year so the new board members are educated and renewing members are reminded of the policy. All members will be given copies of the written policy. In this way, the board chair and executive committee will monitor and enforce compliance with the policy.

The board of directors establishes the compensation of the executive director and approves salary increases on an annual basis, in june of each year.

The executive director works with the board to establish compensation packages for other officers and key employees. The executive director makes recommendations on compensation the board reviews and approves the recommendations. The executive director conducts annual performance reviews for all employees, and then makes recommendations for salary increases, which are subject to board approval.

Financial Statement Notes

Schedule D, Page 3, Part X

The center is exempt from federal and state income taxes under internal revenue code section 501 (c)(3) and the tax laws of the state of tennessee. Accounting principles generally accepted in the united states of america require the center to evaluate tax positions taken by the center and recognize a tax liability (or asset) if the center has taken an uncertain position that more likely than not would not be sustained upon examination by the irs. The management has analyzed the tax positions taken by the center and has concluded that as of june 30, 2016, no uncertain positions are taken or are expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements. The center is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. The center is no longer subject to u.s. Federal income tax examinations by tax authorities for years before 2012.
