Organization's process to review form 990 the draft of the 990 is reviewed by the financial administration staff team and sent to the board of directors' finance committee for review before submittal to the irs.

Form 990, Part VI, Section B, Line 12C

Harpeth conservancy's by-laws, section iii.f. Specify the process the board of directors follows to review potential conflicts of interest with members of the board. Harpeth conservancy also has a conflict of interest policy in its personnel handbook and a conflict of interest policy form that all incoming staff must review and sign indicating that they understand the organization's internal conflict of interest policy for staff.

Form 990, Part VI, Section B, Line 15A

The compensation process for the ceo and president and all full-time employees are reviewed annually. Supervisors review staff they manage. The upcoming calendar year cola set by the social security administration is built into the annual budget for all staff as a standard process unless larger salary increases are proposed or there are budgetary constraints. The proposed annual staff compensation including benefits for the coming fiscal year is reviewed and recommended by the board finance committee for board approval during the budget process. For the ceo and president, the board's governance committee manages an annual review. The process also includes a comparison of comparable salaries in the region and nationwide. Significant changes to salary and compensation for the president and ceo are reviewed by the finance committee before review and approval by the board.

Financial Statement Notes

PART X, LINE 2:

The organization follows fasb asc 740-10, accounting for uncertainty in income taxes, as it relates to the uncertain tax positions. For all tax positions taken by the organization, management believes it is clear that the likelihood is greater than 50% that the full amount of the tax position taken will be ultimately realized. Therefore, management believes that no liability for unrecognized tax benefits should be recorded related to uncertain tax positions taken on returns for the three most recent years filed, or expected to be taken in the organizations's current year tax return. The organization identifies its major tax jurisdictions as the u.s. Federal and the state of tennessee. However, the organization is not currently under audit nor has the organization been contacted by either of these jurisdictions. As of march 31, 2025, the organization has accrued no interest or penalties related to uncertain tax positions.

WE ARE ACTIVELY PURSUING AND DEFENDING REGULATORY SYSTEMS THAT PROTECT THE HEALTH OF HUMANS AND WILDLIFE BY WORKING WITH STATE AGENCIES AND LOCAL GOVERNMENTS, ORGANIZING STATEWIDE COALITIONS, AND BUILDING LOCAL CITIZEN ENGAGEMENT.
