Supplemental Narrative

Additional Explanations

Form 990, Part XII, Line 2C:

The Audit Committee of the Board of Directors annually selects the external auditors for Covenant Health. There is a joint meeting of the Finance Committee and Audit Committee of the Board of Directors where the audit of the consolidated financial statements are presented. Covenant Health is the parent company of Methodist Medical Center, the supported organization of Methodist Medical Center Foundation.

Financial Statement Notes

Part V, Line 4:

The endowment funds were established to provide a source of income for the following programs at Methodist Medical Center: The Hospitality Houses, The Wellness Place, and the Jane Manly Quiet Room.

Part X, Line 2:

Note B to the consolidated audited financial statements of Covenant Health, parent company to Methodist Medical Center, the supported organization of Methodist Medical Center Foundation, reads in part: "Income Taxes: Covenant and certain of its subsidiaries or controlled entities are exempt from income taxes pursuant to Section 501(c)(3) of the Internal Revenue Code. Accordingly, no provision for income taxes on qualifying activities has been made for these entities in the accompanying consolidated financial statements. However, certain entities and operations are subject to income taxes (see Note G). Note G reads in part: "Covenant had no unrecognized tax benefits at December 31, 2017 and 2016. As such, no interest or penalties were recognized in the Consolidated Statements of Operations and Changes in Net Assets related to unrecognized tax benefits. At December 31, 2017, tax returns for 2014 through 2017 are subject to examination by the Internal Revenue Service. Covenant has no uncertain tax positions that would require financial statement recognition or disclosure under GAAP at December 31, 2017 or 2016."

IRS990/Desc0The Hospitality Houses of Methodist Medical Center provide temporary lodging for patients and families who must travel long distances for treatment at Methodist Medical Center or Thompson Cancer Survival Center at Methodist. The program is supported entirely by charitable contributions. Guests of the Hospitality Houses stay as long as they need and free of charge. Since the first house opened in 1997, thousands of guests have received lodging. In the last four years alone, the houses have served 1,058 guests and provided over 6,000 nights of stay. The houses serve 250-350 guests each year. See Schedule O for more information about the Hospitality Houses. In late 2016, extensive renovations began on a third house to expand the capacity of the program. In 2017, just over $301,000 of the total distributions was specific to that renovation project, as well as $58,000 in gift-in-kind distributions. The third house opened for guests in December of 2017. In January 2018, the first month with all three buildings fully operational, the houses had a 90% occupancy rate. The Hospitality Houses have welcomed patients and guests from 40 different states, including Alaska, and overseas guests from the Virgin Islands and England.

IRS990/ProgSrvcAccomActy3Grp/Desc0Clinical trials are conducted with patients of Thompson Cancer Survival Center at Methodist to discover better methods of preventing and treating cancer. The Foundation funds monthly tumor conferences to review potential patients eligible for clinical trials as well as current patient progress. See Schedule O for more information about clinical trials. For any clinical trials program to be successful there must be a pool of potential candidates that may be referred to the trials. The weekly tumor conferences presented 138 cancer patients for discussion last year. In these conferences, a multidisciplinary group of physicians reviews patients against the criteria for available clinical trials, as well as discussing patient treatment options. The Covenant Health clinical trials manager frequently attends these conferences to provide updated materials on current trials for review and discussion. Participation in clinical trials helps Methodist Medical Center physicians and medical professionals answer important scientific questions about promising new drugs or devices which can lead to future advances in cancer care.

IRS990ScheduleA/Form990ScheduleAPartVIGrp/ExplanationTxt0The MMC Foundation exists to meet the patient care needs of Methodist Medical Center ("Hospital"), its supported organization. As such, the Foundation takes its direction from the Hospital's CAO. The CAO utilizes the system budget process for planning for the use of charitable dollars in the year ahead. Once approved, as expenses are incurred by the Hospital, the Foundation reimburses the Hospital for the particular need. If an appropriate Foundation (charitable gift) funding opportunity comes up outside of this process, the CAO approaches Covenant Health's Executive Leadership Team for approval. The Hospital then expends the dollars and is reimbursed from the Foundation. The Foundation does not decide how or where to allocate dollars outside of discussion with and approval by the Hospital's CAO (and Covenant Health leadership). A nominating committee made up of Foundation board members and appropriate administrative staff, and appointed by the chair, identifies and discusses potential new Foundation board members. These names are then reviewed by the Hospital's administration and shared with Covenant Health's senior leadership prior to submission by the committee to the MMC Foundation's full board of directors for official approval.
