The board of directors reviews the form 990 when they receive the audit report at the january board meeting.

Form 990, Page 6, Part VI, Line 12C

1. Members of the board of directors of heartland services, inc., shall not engage in activities which constitute a conflict of interest as defined in the policy. 2. No board member shall derive personal profit or gain based solely on the fact that he or she is a board member. 3. Any board member with dual interest in any matter, or possible conflict of interest, shall not vote on the matter or use personal influence in the matter affecting the agency. 4. Business between board members and the agency shall only be conducted with the full knowledge of the entire board of directors. The transactions proposed shall be approved at regularly scheduled meetings by a majority vote. 5. Products or service provided to the agency by board members shall be done on a competitive basis with full knowledge of board and the heartland services, inc., private auditor for annual auditing purposes.

1. The executive director and area directors' compensation shall be reviewed by the board of directors prior to any changes in compensation being made. 2. The board of directors is authorized to make recommendations regarding executive compensation. The board will review appropriate data as to comparability prior to making its recommendation and shall contemporaneously place such data and reasons for its recommendation in the minutes.

Medicaid waiver residential, day, and personal assistance. Residential - this includes both group homes and supporting living in four counties. Thirty eight individuals are served. Achievements are related to community activities and daily living skills. Day - this includes services to individuals in prevocational training centers, community based activities, opportunities for work, and serves approximately one hundred and fifteen individuals. Acheivements are related to providing oversight/trasportation for physicians/appointments and providing leisure and learning activities. Personal assistance - provides assistance to individuals who live in their own home. Acheivemnts include helping individuals with daily life skills.

Heartland services, inc. Has been classified as an other-than-private foundation and is tax-exempt under section 501(c)(3) of the internal revenue code. Heartland services, inc. Is subject to a tax on income from any unrelated business activities. Heartland services, inc. Adopted the recognition requirements for uncertain income tax positions as required by generally accepted accounting principles, with no cumulative effect adjustment required. Income tax benefits are recognized for income tax positions taken or expected to be taken in a tax return, only when it is determined that the income tax position will more-likely-than-not be sustained upon examination by taxing authorities. Heartland services, inc. Has analyzed tax positions taken for filing with the internal revenue service and all state jurisdictions where it operates. Heartland services, inc. Believes that income tax filing positions will be sustained upon examination and does not anticipate any adjustments that would result in a material adverse effect on heartland services, inc.'s financial condition, results of operations or cash flows. Accordingly, heartland services, inc. Has not recorded any reserves, or related accruals for interest and penalties for uncertain income tax positions at june 30, 2025. Heartland services, inc. Is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. Heartland services, inc., believes it is no longer subject to income tax examinations for years prior to 2022. Heartland services, inc.'s policy is to classify income tax related interest and penalties in interest expense and other expenses, respectively.
