Governance Explanations

Form 990, Part VI, Line 11B Review of form 990 by governing body

The form 990 is prepared and then reviewed by the chief financial officer and the finance committee. After the cfo and the finance committee approve the form, the final draft is presented to the full board for review and approval prior to being filed with the irs.

Form 990, Part VI, Line 12C Conflict of interest policy

The accounting department compares the board member list to vendor records in order to identify conflicts of interest within the board. In addition, board members are asked to disclose annually regarding potential conflicts involving family members or business associates. If any conflicts are identified, the organization monitors each situation on a case-by-case basis.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

A compensation committee of the board, composed of independent persons, obtained comparable compensation data from goodwill industries international, which was used to evaluate the local salaries and make adjustments as needed.

Form 990, Part VI, Line 15B Process to establish compensation of other employees

Officers and key employees' compensation was determined by market comparison, an independent consultant, review by human resources, and approval by the chief executive officer.

Form 990, Part VI, Line 19 Required documents available to the public

The organization makes its governing documents available to the public on its website, www.giveit2goodwill.org, or upon request.

Financial Statement Notes

Schedule D, Part XIII

Income tax footnote: the organization follows the fasb asc guidance for uncertainty in income taxes recognized in an entity's financial statements. The guidance prescribes a minimum probability threshold that a tax position must meet before a financial statement benefit is recognized. The minimum threshold is defined as a tax position that is more likely than not to be sustained upon examination by the applicable taxing authority, including resolution of any related appeals or litigation processes, based on the technical merits of the position. The tax benefit to be recognized is measured as the largest amount of benefit that is more than 50% likely of being realized upon ultimate settlement. The organization has not recognized any interest or penalties related to uncertain tax positions in the accompanying financial statements.
