“The organization has appointed members, contributing members, and active members. Appointed members are the directors who are appointed by the governor of the state of washington. Contributing members make contributions to the organization's programs. Active members are those whose background or experience indicate they will support the purposes of the entity.”

“Members have the right to vote on possible mergers or consolidations, dissolutions, altering the classes or voting rights of members, and approval of amendments to the articles of incorporation or bylaws.”

“The executive director, director of operations and finance, contract accountant, board of directors, and the executive committee all review the form 990. The draft of form 990 is sent to the entire board of directors via email several days before the board of directors meeting. The board of directors can review, comment or question items if needed. If changes are made to the draft form 990, a final version will be provided to the board members after the changes have been made and before filing with the irs.”

“Washington filmworks asks for conflict of interest forms to be completed by each board of directors member, washington filmworks employees and key contractors annually. The executive committee or, if they cannot, our law firm of record determines if a conflict of interest exists. If a conflict is found a full report is made to the full board. Board members must not vote on, approve or recommend any transaction in which s/he has an actual or potential conflict of interest. The board member may be asked to leave the meeting during the discussion and vote.”

“The full board reviews each staff member's salary annually, sometimes utilizing a human resource consultant. New contracts are issued annually. For the last budget cycle the board formed a compensation committee and compared positions and rates with other state film office and incentive programs. In addition, compensation is compared to a non-profit wage and salary survey guide. Compensation deliberations took into account both market compensation rates and what the budget would allow. The last compensation review occurred in june of 2016.”
