Form 990, Part VI, Section A, Line 2

The foundation is a type i supporting organization of the pittsburgh foundation. As a type i supporting organization, the majority of trustees are appointed by the pittsburgh foundation. Kelly uranker and michael yonas have a business relationship as a result of their common employment.

Form 990, Part VI, Section A, Line 7A

The foundation shall be administered by at least three trustees. The majority of trustees are appointed by the pittsburgh foundation. The remaining trustees shall be appointed by the donor trustees, appointed by charles e. Kaufman or any successor designated in writing by charles e. Kaufman.

Form 990, Part VI, Section B, Line 11B

The audit committee of the pittsburgh foundation is charged with the responsibility of reviewing the forms 990 on behalf of all supporting organizations and executes this responsibility prior to the filing of the returns with the internal revenue service. The organization's form 990 is reviewed internally by the pittsburgh foundation's chief finance and operations officer, controller and senior accounting manager. Once approved for filing, a complete copy of the return is provided to all of the organization's trustees.

Form 990, Part VI, Section B, Line 12C

The charles e. Kaufman foundation adopted a written conflict of interest policy. The trustees of the charles e. Kaufman foundation complete an annual disclosure statement and disclose any potential or actual conflict of interest in connection with any financial transaction brought before the board. If applicable, board minutes would then clearly reflect the resolution of the perceived and/or actual conflict in accordance with the policy's provisions. Part vi, section b, lines 13 and 14: the pittsburgh foundation performs recordkeeping and other support services for its supporting organization, the charles e. Kaufman foundation. These services are performed in accordance with internal control and policies and procedures that govern all operational activities of the pittsburgh foundation. Accordingly, the operational activities of the charles e. Kaufman foundation are governed by the following policies and procedures of the pittsburgh foundation: document destruction policy, whistleblower policy, and process for determining compensation when applicable.

Form 990, Part VI, Section B, Line 15

The charles e. Kaufman foundation does not compensate any individuals for board or employment services. Form 990 requires the charles e. Kaufman foundation to disclose compensation paid by its related organization, the pittsburgh foundation, for services the individuals provide to the pittsburgh foundation. Compensation is awarded by the foundation pursuant to a process that satisfies the requirements of the intermediate sanctions regulations.

The audit committee of the pittsburgh foundation, as part of its shared services arrangement with the charles e. Kaufman foundation, assumes responsibility for the oversight of the audit of the financial statements of the charles e. Kaufman foundation as well as the selection of an independent auditor. This process has not changed from the prior year.

Financial Statement Notes

PART X, LINE 2:

The foundation adopted financial accounting standards board (fasb) guidance for accounting for uncertainty in income taxes, which provides criteria for the recognition and measurement of uncertain tax positions. This guidance requires that an uncertain tax position should be recognized only if it is "more likely than not" that the position is not sustainable based on its technical merits. Recognizable tax positions should then be measured to determine the amount of benefit or liability recognized in the consolidated financial statements. The foundation files u.s. Federal and state information returns, and no returns are currently under examination. The statute of limitations on the foundation's federal tax returns remains open for the years ended december 31, 2020 through the present. The foundation continues to evaluate its tax positions pursuant to the principles of fasb guidance and has determined that there is no material impact on the foundation's consolidated financial statements.
