The kentucky chamber foundation annually surveys its board of directors and other key persons to determine potential conflicts of interest. A questionnaire is distributed annually that includes a list of key persons and a detailed description of what might constitute a conflict of interest with the organization. The response to the questionnaires are reviewed by the board of directors. On matters where the conflict applies, the board member holding the conflict will be prevented from deliberating and voting on decisions of the transaction or arrangement.

The foundation does not have any other compensated officers or key employees; therefore, this question has been answered "no" in accordance with the form 990 instructions.

Compensation for the organization's officers is paid by kentucky chamber of commerce, inc. (kcc), a related tax-exempt organization. The ceo's performance and compensation are reviewed at least once each year by kcc's performance review and compensation committee (established in the chamber's bylaws) using comparable chamber of commerce and state association executive compensation data. The performance review and compensation committee reports its review process to kcc's executive committee. The ceo reports to the committee on his/her process for review of other executive salaries. The committee reports its review process to the executive committee. The reports for the above are included in the executive committee minutes which are distributed to the full board of directors at the regular meeting.

Kcf's program initiatives include: - leadership institute for school principals: school principals attend the kentucky chamber foundation's leadership institute for school principals. Participants were selected by an advisory board made up of business leaders and school superintendents. The program offers public and private school principals an opportunity to receive powerful leadership training from the nationally acclaimed center for creative leadership (ccl), a top-ranked global provider of executive education founded in 1970. Its education and nonprofit section was established in 1988. Numerous kentucky corporations use ccl to provide training for their executives. - task force on postsecondary education - annual progress update: this annual written update is provided to the public on kentucky's public universities' progress achieving a 20-year improvement plan set forth by kentucky policymakers.

Schedule D, Part X, Line 2, FIN 48 (ASC 740) footnote

Kcf has been granted exemption from federal and state income taxes under section 501(c)(3) of the code. Kcf had no unrelated business income, and as such, had no income tax expense. The chamber would recognize a tax position as a benefit only if it is "more likely than not" that the tax position would be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized is the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the "more likely than not" test, no tax benefit is recorded. The chamber is no longer subject to examination by taxing authorities for years before september 30, 2011. The chamber does not expect the total amount of unrecognized tax benefits to significantly change over the next 12 months. The chamber recognizes interest and penalties related to income tax matters in income tax expense. The chamber did not have any amounts accrued for interest and penalties at september 30, 2014 and 2013.

THE CHAMBER WOULD RECOGNIZE A TAX POSITION AS A BENEFIT ONLY IF IT IS "MORE LIKELY THAN NOT" THAT THE TAX POSITION WOULD BE SUSTAINED IN A TAX EXAMINATION, WITH A TAX EXAMINATION BEING PRESUMED TO OCCUR. THE AMOUNT RECOGNIZED IS THE LARGEST AMOUNT OF TAX BENEFIT THAT IS GREATER THAN 50% LIKELY OF BEING REALIZED ON EXAMINATION. FOR TAX POSITIONS NOT MEETING THE "MORE LIKELY THAN NOT" TEST, NO TAX BENEFIT IS RECORDED. THE CHAMBER IS NO LONGER SUBJECT TO EXAMINATION BY TAXING AUTHORITIES FOR YEARS BEFORE SEPTEMBER 30, 2011. THE CHAMBER DOES NOT EXPECT THE TOTAL AMOUNT OF UNRECOGNIZED TAX BENEFITS TO SIGNIFICANTLY CHANGE OVER THE NEXT 12 MONTHS.
