The President of the Board of Directors forwards all questions and comments to the CEO, who reviews them with the Form 990 preparer. Any needed revisions are then made prior to IRS submission.”

The following are excerpts from the policy: each director, officer, and employee is provided with and asked to read a copy of the conflict of interest policy and to acknowledge in writing that they have done so. Annually each director, officer, employee, and volunteer completes a disclosure form identifying any relationships, positions or circumstances in which they are involved that he or she believes could contribute to a conflict of interest. Edge has a conflict of interest disclosure form to facilitate this reporting. A person who has a conflict of interest is not allowed to hear the Board or Committee discussion on the matter except to disclose material facts and to respond to questions.”

“Edge Outreach has an Executive Committee that is tasked with reviewing and adjusting compensation for the CEO and Key Employees. The Executive Committee of independent Board members meets at least twice per year (independence is defined as a Board Member who is not an employee of Edge Outreach). As part of its process the Committee reviews compensation studies provided by Guidestar and similar organizations. Minutes to Executive Committee meetings are kept so as to substantiate deliberation and decisions.”

These documents are kept in a file at the receptionist's desk for anyone who requests to see them. Edge Outreach also trasmits these documents via email as needed and requested.”
