Governance Explanations

Form 990, Part VI, Section A, Line 1A

Executive committee consisting of the board chair, immediate past president, vice chair, treasurer, secretary, and executive director. The executive committee is a standing committee empowered to act on behalf of the board between meetings, in emergency situations, and as otherwise authorized by the board. When acting on behalf of the board, submit any such actions to the board for ratification at the next board meeting following such actions.

The draft form 990 is reviewed by the ceo and vice president of finance, then distributed to the full board of directors for final approval prior to filing.

Form 990, Part VI, Section B, Line 12C

Annually, each director, officer, and member of a committee with board-authorized powers signs a statement which affirms (s)he has received a copy of the conflicts of interest policy, read and understands the policy, agrees to comply with the policy, and understands the foundation is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. The organization also conducts periodic reviews to ensure the foundation operates in a manner consistent with its charitable purpose. These reviews specifically look at compensation arrangements with disqualified persons and whether partnerships, joint ventures, and arrangements with management organizations conform to the foundation's written policies.

Form 990, Part VI, Section B, Line 15

The board of directors determines and manages the ceo's compensation. The executive committee conducts an annual performance review and must approve any performance-based incentives or merit increases. No changes to the ceo's compensation occur without the formal review and approval of the board. This process is contemporaneously documented in the personnel file and board minutes. For the ceo and other key employees, the foundation periodically engages an external consultant to provide comparability data by benchmarking salaries against industry norms and peer organizations. This ensures compensation is reasonable and competitive. The executive committee also oversees and approves incentive pay and merit increases for the foundation's staff. The process described here was last completed in 2025.

PART X, LINE 2:

The foundation is organized as a nonprofit corporation and has been recognized by the internal revenue service (irs) as exempt from federal income taxes under section 501(a) of the internal revenue code as a foundation described in section 501(c)(3) and has been determined not to be a private foundation under section 509(a)(1). Accordingly, contributions to it qualify for the charitable contribution deduction under section 170(b)(1)(a). The foundation is annually required to file a return of foundation exempt from income tax (form 990) with the irs. In addition, the foundation is generally subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. The foundation has determined the foundation has no taxable unrelated business income and it has not filed the exempt foundation business income tax return (irs form 990-t), or its arizona equivalent, form 99-t. The foundation has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The foundation would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.
