Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee committee consists of three or more directors and may exercise, when the board is not in session, all of the powers of the board in the management of the business and affairs of the foundation with the exception of nondelegable powers; provided; however, the executive committee must report in writing to the board at the next meeting of the board all the actions taken by the executive committee between meetings of the board. The executive committee may not fill vacancies on the board or on any committee of the board; adopt, amend or repeal the articles of incorporation or bylaws of the foundation; and may not fix compensation of the directors as such powers are nondelegable pursuant to the foundation's bylaws.

Form 990, Part VI, Section A, Line 4

The bylaws were amended to limit the number of successive terms for board members to three (3) successive terms instead of allowing for an unlimited number of successive terms. Officers may also be elected to serve a maximum of three (3) consecutive terms in any single officer position, with the exception of an immediate past president, if any, which shall be limited to a single (1) one-year term.

Form 990, Part VI, Section B, Line 11

Prior to filing the return, a draft copy is submitted to the executive director and then to the finance committee. The return is provided to the board of directors for review to ensure that the information presented on the return is an accurate description of the activities of the foundation.

Form 990, Part VI, Section B, Line 12C

Annually, each director, officer and member of a committee with board authorized powers signs a statement which affirms (s)he has received a copy of the conflicts of interest policy, read and understands the policy, agrees to comply with the policy and understands the foundation is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one of more of its tax-exempt purposes. The organization also conducts periodic reviews to ensure the foundation operates in a manner consistent with its charitable purpose. These reviews specifically look at compensation arrangements with disqualified persons and whether partnerships, joint ventures, and arrangements with management organizations conform to the foundation's written policies.

Form 990, Part VI, Section B, Line 15

The executive director's services to the organization are provided by universal technical institute, an unrelated organization, as a seconded individual. Universal technical institute sets her salary. Because universal technical institute does not take a charitable contribution for the provision of these services, no compensation is reported on part vii or schedule j of the return (see form 990 instructions for part vii, line 5).

Form 990, Part VI, Section C, Line 19

The foundation makes its form 1023, form 990 returns, governing documents, conflict of interest policy, and financial statements available to the public for inspection upon request.

FORM 990 PART VI LINE 2A:

Universal technical institute foundation's (the foundation) employees are paid by universal technical institute (uti) - therefore the foundation does not issue any forms w-2. The salaries paid by uti are disclosed on form 990 part ix for transparancy.

IRS990ScheduleI/SupplementalInformationDetail/ExplanationTxt0FOR GRANTS TO ORGANIZATIONS, THE FOUNDATION ONLY MAKES GRANTS TO ORGANIZATIONS WITHIN THE U.S. WHICH ARE TAX-EXEMPT UNDER INTERNAL REVENUE CODE SECTION 501(C)(3) WITH THE SAME MISSION TO FURTHER EDUCATION. STUDENTS APPLY FOR A SCHOLARSHIP OR GRANT BASED ON ESTABLISHED CRITERIA AND MONEY AVAILABLE. GRANT FUNDS ARE DISBURSED AS NEEDED AS LONG AS THE STUDENT PROVIDES THE NECESSARY DOCUMENTATION. STUDENTS APPLY FOR A PARTICULAR SCHOLARSHIP BASED ON ESTABLISHED CRITERIA, COMPLETE THE APPLICATION FORM AND SUBMIT IT BY THE STATED DEADLINE. EACH SCHOLARSHIP FUND SETS THE NUMBER OF AWARDS PER YEAR. SCHOLARSHIP AWARDS ARE PAID DIRECTLY TO THE SCHOOL TO ENSURE PROPER USE FOR TUITION AND OTHER APPROVED EXPENSES. HARDSHIP ASSISTANCE IS MONITORED TYPICALLY BY PAYING BASIC-NEED EXPENSES (HOUSING, UTILITIES, ETC.) BASED ON THE SUBMISSION OF SUPPORTING DOCUMENTATION. PAYMENTS ARE GENERALLY PAID DIRECTLY TO THE SERVICE PROVIDER TO ASSURE APPROPRIATE USE OF THE FUNDS. THE FOOD PANTRY PROGAM PROVIDES FINANCIALLY DISTRESSED STUDENTS WITH SMALL QUANTITIES OF FOOD STAPLES. SUBSEQUENT TO THE GRANT, NO FURTHER MONITORING IS CONSIDERED NECESSARY OR APPROPRIATE. THE NUMBER OF RECIPIENTS IS AN ESTIMATE OF ASSISTANCE INSTANCES BASED ON CASUAL OBSERVATION. THE NUMBER DOES NOT ATTEMPT TO ESTIMATE THE NUMBER OF UNIQUE RECIPIENTS.
