“The executive committee consists of three or more directions and may exercise when the board is in session, all of the powers of the board in the management of the business and affairs of the foundation with the exception of nondelegable powers provided. However, the executive committee must report in writing to the board at the next meeting of the board all the actions taken by the executive committee between meetings of the board. The executive committee may not fill vacancies on the board or on any committee of the board, adopt, amend or repeal the articles of incorporation or bylaws of the foundation, and may not fix compensation of the directors as such powers are nondelegable pursuant to the foundation's bylaws.”
