Governance Explanations

Form 990, Part VI, Section B, Line 11B

The finance committee reviews the 990 before it is filed.

Form 990, Part VI, Section B, Line 12C

Board members are asked to complete a disclosure form at the beginning of the fiscal year, which is then submitted to the president & ceo, and board chair. The president & ceo and executive assistant maintain a record of when each board member submits her/his form and the president & ceo follows up with any who have not yet submitted a form until we have 100 percent.

Form 990, Part VI, Section B, Line 15

Line15a: compensation process for top official - the board established a revised compensation philosophy for the president & ceo in february 2024. Informed by external market data analysis, this framework is designed to guide not only the current board but also future boards in maintaining a consistent and effective compensation strategy for the president & ceo position. By integrating insights from external benchmarks and trends, cap ensures the compensation strategy remains competitive, equitable and aligned with the evolving standards of the marketplace. The base salary should align with or exceed the median (50th percentile) of ceo compensation in similar-sized organizations, as outlined in the most recent nonprofit center of northeast florida's compensation and benefits report. Additionally, this base salary comparable should be subject to an upward adjustment of at least 2.4% annually, or the prevailing cost of living adjustment (cola), to ensure its alignment with current standards. At the onset of each fiscal year, the president & ceo will collaborate with the executive committee to establish a set of measurable annual goals, including but not limited to financial performance, program development and execution, community engagement and organizational growth and sustainability. The achievement of these goals will be evaluated near the close of the fiscal year by the executive committee, incorporating a balanced assessment that weighs both quantitative outcomes and qualitative contributions. The culmination of this process will inform the decision regarding the eligibility for, and the amount of, any potential performance bonus. The executive committee presents this recommendation to the full board at the final meeting of the fiscal year. Annually, the executive committee reviews this compensation philosophy to confirm its effectiveness. Form 990, part vi, section b, line 15: line 15b: compensation process for officers - at the beginning of each fiscal year, the president & ceo distributed compensation guidelines for the entire staff. Cap's annual performance compensation system directly links salary increases and mission impact bonus awards to measurable results that advance our mission. This system leads to compensation decisions that are fair, objective, transparent and aligned with organizational goals. Employee salaries are analyzed against comparables in the region to ensure cap is equipped to recruit and retain top talent; resources include studies commissioned by the nonprofit center of northeast florida as well as the florida nonprofit alliance. Cap remains committed to competitive base salaries as the primary form of compensation. Mission impact bonus awards supplement, never replace, fair base pay. All staff receive quarterly performance reviews, during which time they receive one of three ratings, each of which is tied to a specific target for both a potential salary increase and potential bonus. The annual rating assigned through quarterly reviews determines eligibility for salary increases and bonus ranges. The collective weighted goals then adjust the final bonus payout within that band. With regard to collective performance goals for mission impact bonus awards, all employees are evaluated using a weighted scoring system across four strategic categories. These weighted scores fine-tune the final bonus payout within the annual performance rating band, but do not override the manager's overall assessment of the employee's total performance. This structure balances clear, measurable results with professional judgment, ensuring pay decisions reflect both individual contributions and cap's mission-focused work.

Form 990, Part VI, Section C, Line 19

Everyone is asked to complete a disclosure form at the beginning of the fiscal year, which is then submitted to the president & ceo and board chair. The president & ceo, and executive assistant maintain a record of when each board member submits her/his form and the president & ceo follows up with any who have not yet submitted a form until we have 100 percent compliance.

IRS990/Desc0THE CATHEDRAL ARTS PROJECT (CAP) IS A NATIONALLY RECOGNIZED NONPROFIT PROVIDER OF QUALITY VISUAL AND PERFORMING ARTS INSTRUCTION FOR CHILDREN AND YOUNG ADULTS IN NORTHEAST FLORIDA. OUR MISSION IS TO EMPOWER EVERY CHILD'S CREATIVE SPIRIT, ELEVATE ARTS EDUCATORS IN THEIR FIELD AND ADVOCATE FOR ACCESS IN ART EDUCATION. OUR VISION IS BOLD: TO MAKE NORTHEAST FLORIDA A NATIONAL EXAMPLE IN PROVIDING ACCESSIBLE AND ESSENTIAL ARTS EDUCATION THAT CELEBRATES EACH CHILD'S UNIQUE TALENTS AND STRENGTHS. FOR TOO MANY CHILDREN IN OUR COMMUNITY, THE ARTS REMAIN OUT OF REACH. EVEN WHEN ARTS PROGRAMS ARE AVAILABLE, THEY'RE FREQUENTLY LIMITED IN SCOPE AND ACCESSIBILITY, PREVENTING YOUNG PEOPLE FROM FULLY ENGAGING IN THE ARTS AND REALIZING THEIR POTENTIAL.CAP FILLS THIS NEED. WE EXPANDED OUR ENROLLMENTS FROM 3,673 IN THE 2023-24 SCHOOL YEAR TO 4,328 IN 2024-2025. IN 2024-2025, CAP CONDUCTED PROGRAMS IN OVER 55 SITES IN DUVAL, CLAY, NASSAU AND ST. JOHN'S COUNTIES, PROVIDING A RANGE OF ARTS PROGRAMS TAILORED TO THE NEEDS OF A WIDE RANGE OF STUDENT POPULATIONS. THESE INCLUDE MUSIC THERAPY FOR STUDENTS WITH DISABILITIES, ARTS PROGRAMMING FOR YOUTH IN CRISIS CARE, SENSORY ARTS FOR EXCEPTIONAL EDUCATION STUDENTS, AND CREATIVE ARTS COUNSELING THAT ADDRESSES INDIVIDUAL SUPPORT NEEDS AND OTHER CHALLENGES. CAP STUDENTS' ACHIEVEMENTS SPEAK TO THE IMPACT OF THESE PROGRAMS: OUR YOUNG MUSICIANS HAVE WON AWARDS AT THE CRESCENDO INTERNATIONAL MUSIC COMPETITION AND PERFORMED AT VENUES LIKE CARNEGIE HALL AND HARVARD UNIVERSITY, SHOWCASING THE LEVEL OF ARTS EDUCATION THEY RECEIVE.
