AN OVERALL MANAGEMENT AGREEMENT BETWEEN THE ORGANIZATION AND IT'S 501(C)(3) OWNER, HOUSING PARTNERSHIP OF NORTHEAST FLORIDA, INC., WAS ASSIGNED in 2011 TO A TAXABLE ENTITY (KINGS RIDGE APARTMENTS, LLC) PARTIALLY OWNED BY A FAMILY MEMBER OF A DIRECTOR (THAT DIRECTOR BECAME A DIRECTOR AFTER THE ASSIGNMENT) WHICH REQUIRES THE MANAGEMENT COMPANY TO FUND CASH FLOW SHORTAGES AND WHICH PAYS THE MANAGEMENT COMPANY A MANAGEMENT FEE BASED ON CASH FLOW GENERATED FROM THE RENTALS AFTER PAYING 5% OF THE NET REVENUE TO THE 501(C)(3) OWNER. UNDER THIS AGREEMENT, THERE WERE NO POSITIVE CASH FLOWS GENERATED BY THE APARTMENTS IN THE CURRENT YEAR AND THEREFORE NO OVERALL MANAGEMENT FEE PAYMENTS PAID OR PAYABLE UNDER THE CONTRACT DURING THE CURRENT YEAR.
