All Board members are required to disclose any potential conflict of interest prior to discussion of any item in which a conflcit may be presented or arise. Conflicted members exit the boardroom and abstain from voting on any matters where a conflict of interest is present. Members also complete annual disclosures of any potential conflicts of interest in writing. Form 990, Part VI, Line 15a- Compenstion Process for Top Offical. See Schedule J, Part III- Supplemental Information Form 990, Part VI, Line 15b- Compensation process for officers. A third party compensation consultant complies a wage comparability study that also incorporates a 990 Peer Group for officers, key employees, and highly paid indivduals.
