“The organization has members. There are two classes of members: regular and associate.”

“Regular members of the organization elect members to serve on the organization's board of directors.”

“The audit and finance committe reviews the form 990. Once any questions, comments and corrections have been made, the audit and finance committee votes to accept the 990. An electronic copy of the form 990 is then provided to the members of the board, who acknowledge receipt. The return is then filed with the irs.”

“Employees and members of the board of directors are subject to a conflict of interest policy and have an ongoing obligation to disclose any actual or apparent conflicts of interest. Disclosures are made periodically, but not annually. Employee compliance is monitored by the executive director. Board of directors compliance is monitored by the board. Every employee and board member signs an acknowledgment of the policy when received. If a conflict of interest occurs, before recusing himself or herself from the decision-making process, the individual must fully disclose every and all economic benefit that the individual may expect to receive as a result of the activity. Appropriate determinations as to the existence of a conflict and resolution of such conflict will be made by the executive director, the board president and the board of directors.”

“The board of directors determines the compensation for the executive director. The full board evaluates the executive director on a yearly basis and votes to determine a salary increase and/or merit increase. Once a decision is made, it is documented. The last salary review took place in october 2022, when the new executive director was hired.”
