Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee has the authority to exercise the powers of the board of governors between board meetings. The committee does not have the authority to: (1) adopt, amend, or repeal the bylaws or articles of incorporation, or (2) approve any expenses, not already provided for in the annual budget, in excess of $1,500,000. The committee is required to report at each meeting of the board of governors on its activities since the last meeting of the board of governors.

An electronic copy of the foundation's form 990 is provided to the audit committee, president, and cfo for preliminary review. An electronic copy of form 990 is then distributed to the entire governing board prior to issuance.

Form 990, Part VI, Section B, Line 12C

Annually, the foundation requires all interested persons to attest that they have received, read and agreed to comply with lifelink's conflict of interest policy. The annual certification requires the disclosure of any conflicts of interest that may exist. The compliance officer and president review potential conflicts of interest and determine what action, if any, is necessary including additional review by the executive committee of the governing board. On an ongoing basis, conflicts of interest are monitored based on periodic reviews performed by the foundation's internal corporate compliance department.

Form 990, Part VI, Section B, Line 15

An independent compensation committee acting on behalf of the governing board is responsible for reviewing and approving the total compensation of all officers, directors, key employees and any related family members at least annually. This review includes a detailed analysis of comparable data from industry surveys, form 990s, and studies from a third-party consultant. The independent consulting firm prepares a full market study every three years. The most recent market study was completed in june 2022. The compensation committee annually reviews and approves the compensation and benefits provided to each officer and key employee listed on the form 990 and conducts the review and approval in a manner designed to qualify for the rebuttable presumption of reasonableness under federal tax law.

PART VI, SECTION B:

Corporate compliance program: the objective of the corporate compliance department is to provide guidance to all employees as they carry out their daily activities within appropriate ethical and legal standards. Corporate compliance provides an in-house compliance service that effectively supports each division in their duty to comply with relevant laws and internal procedures. Corporate compliance reviews best practices from outside resources to ensure policies and procedures are updated as necessary. Annual policy training is provided to all employees as it is an important part of their professional development and commitment to achieve the foundation's mission. Corporate compliance also monitors the employee hotline, which allows employees to report potential compliance concerns anonymously. Corporate compliance investigates the hotline concerns thoroughly and promptly. Corporate compliance is responsible for developing and maintaining an efficient and effective program of internal auditing and monitoring to enhance our capacity to manage risk, investigate emerging issues and trends and detecting deviations from established internal controls. Corporate compliance is also involved with assisting the information systems department with lifelink cyber security strategies. Ethical and moral behavior is expected from all employees. The corporate compliance department embodies dedication to the highest standards of ethical behavior, expressed through corporate culture and through adherence to the law. Lifelink is committed to detecting and correcting any unintentional or deliberate conduct that is inconsistent with these principles.

Message from the president & ceo i am deeply humbled by the profound decisions made each year by tens of thousands of individuals in our communities who choose to register as organ, eye, and tissue donors. When the opportunity for donation arises, lifelink is honored to serve as steward of their selfless choices, as well as those of families who, in the absence of prior registration, make the courageous decision to move forward with donation on behalf of their loved ones. We are committed to honoring each donor's legacy, ensuring that their story continues through the lives they touch. Donors and their families make our lifesaving work possible. Equally vital are every dedicated and compassionate member of the lifelink team - from those on the front lines to those behind the scenes - who turn our mission into reality. Invaluable community partners, including hospitals, medical examiners, coroners, driver's license agencies, and many others, provide integral support for our efforts. Together, we make the gift of life possible for patients in need of organ and tissue transplantation. In 2024, we witnessed a historic year of generosity, with 932 organ donors from west florida, georgia, south carolina, puerto rico, and the u.s. Virgin islands providing the gift of 2,556 organs for transplant for patients in end-stage organ failure. Additionally, 1,726 tissue donors from lifelink organ procurement donor service areas, as well as recovery partners, indiana donor network and sharing hope south carolina, enabled tens of thousands of tissue transplants, restoring quality of life and healing for recipients. Also, 374 new mothers generously donated birth tissue following the delivery of their healthy babies - the only form of living donation lifelink facilitates - offering patients with difficult-to-heal wounds a renewed chance at recovery. Lifelink transplantation immunology laboratory tested 462 potential donor heroes who selflessly made the decision to give the gift of life. They worked closely with transplant centers to match patients with life-saving organs for transplants and diligently monitored post-transplant patients for early identification and treatment of organ rejection, for the best possible patient outcomes. Lifelink accomplished many milestones last year and was proud to launch the infinity public education campaign in florida and georgia. First introduced in puerto rico in 2023 as infinito, the late dr. Luis morales, a founder of lifelink of puerto rico, inspired the campaign with one of his favorite questions: "what is your legacy?" infinity celebrates the lasting impact of donation from the perspective of registered donors. Its emblem- a blue and gray infinity symbol - represents eternal life and continuity, and this message of hope has been woven into our communications with communities and partners. Our 2024 impact report showcases the year's achievements and inspiring stories of donors and transplant recipients who remind us of our purpose and drive us forward. As we reflect on the past year with gratitude, we look ahead to 2025 with determination - to continue honoring donors and their families and to save even more lives through organ and tissue donation. Lifelink foundation was established more than 40 years ago with a mission to honor the lives of organ and tissue donors by providing renewed hope to as many people as possible through organ and tissue transplantation. Our organ procurement organizations, lifelink of florida, lifelink of georgia, and lifelink of puerto rico, support, and guide families through the donation process as they establish their loved one's legacy through organ donation. The collaborative efforts of the lifelink opos, together with those of lifelink tissue bank and lifelink transplantation immunology laboratory, give hope to the more than 100,000 patients waiting for a lifesaving organ transplant, and tens of thousands more who could benefit from tissue transplantation. Lifelink legacy fund is a separate organization that contributes to the mission of lifelink foundation through fund development to provide grants for research, public education, and other programs that support organ and tissue donation and transplantation. Our mission is carried out with compassion by team members who work tirelessly towards the goal we share with our professional partners, the families we serve, and our communities: we honor life by saving lives.

(CONTINUED ON SCHEDULE O)THE ACT OF ORGAN DONATION GIVES PATIENTS WITH CRITICAL CONDITIONS A SECOND CHANCE AT LIFE. ONE ORGAN DONOR CAN SAVE 8 LIVES. THANKS TO A DONOR HERO'S LIFESAVING GIFTS, MANY TRANSPLANT RECIPIENTS GO ON TO LEAD NORMAL, ACTIVE AND PRODUCTIVE LIVES. THANKS TO THE GENEROSITY OF ORGAN DONORS AND THEIR FAMILIES, LIFELINK OF FLORIDA, LIFELINK OF GEORGIA AND LIFELINK OF PUERTO RICO FACILITATED 2,629 LIFE-SAVING ORGAN TRANSPLANTS DURING THE 2024 FISCAL YEAR. EACH LIFELINK OPO CONTRIBUTED TO THESE EFFORTS, WITH LIFELINK OF FLORIDA FACILITATING RECOVERY OF 368 DONORS, LEADING TO 933 ORGANS BEING TRANSPLANTED, A 7% INCREASE OVER LAST YEAR. LIFELINK OF GEORGIA TRANSPLANTED 1,399 ORGANS FROM THE RECOVERY OF 467 DONORS. LIFELINK OF PUERTO RICO RECOVERED FROM 121 DONORS AND TRANSPLANTED 297 ORGANS, A 34% INCREASE IN TRANSPLANTS OVER THE PREVIOUS YEAR. INCREASES IN DONATION ARE THE RESULT OF INTERNAL COLLABORATION, AS WELL AS COLLABORATION WITH PARTNER HOSPITALS AND THE COMMUNITY, IMPLEMENTATION AND EVALUATION OF PROCESS IMPROVEMENT, STAFF COMMITMENT TO EXCELLENCE, AND MOST OF ALL, DONOR FAMILY SUPPORT AND THE FORETHOUGHT OF INDIVIDUALS WHO CHOSE TO JOIN THEIR RESPECTIVE STATE DONOR REGISTRIES. AN EXAMPLE OF COLLABORATION WITH OUR PARTNER HOSPITALS HAS BEEN THE LIFELINK ORGAN RECOVERY CENTER (ORC) AT PIEDMONT ATLANTA HOSPITAL. ONE OF ONLY A FEW SUCH FACILITIES IN THE NATION, THE ORC ENHANCES THE LIFESAVING GIFTS PROVIDED BY GENEROUS ORGAN DONORS THROUGH EXPERT CLINICAL MANAGEMENT, WHILE CONTINUING TO SUPPORT DONOR FAMILIES THROUGH THE DONATION PROCESS WITH COMPASSIONATE, PERSONALIZED CARE. A SIMILAR CONCEPT OF DEDICATED SPACE HAS BEEN IMPLEMENTED AT TAMPA GENERAL HOSPITAL IN TAMPA, FLORIDA FOR OUR LIFELINK FLORIDA OPO AND AT AUXILIO MUTUO IN PUERTO RICO FOR OUR LIFELINK PUERTO RICO OPO. PARTNERSHIP WITH HOSPITALS DOES NOT END WITH ENGAGEMENT IN CLINICAL DONOR MANAGEMENT AND ORGAN RECOVERY. LIFELINK OPOS ALSO WORKED WITH 383 LOCAL HOSPITALS THROUGHOUT THE FOUNDATION SERVICE AREA TO CREATE A DONATION FRIENDLY COMMUNITY WITHIN HOSPITALS AND THE AREAS WE BOTH SERVE. THIS RESULTED IN NATIONAL RECOGNITION FOR INCREASING ORGAN, EYE, AND TISSUE DONOR REGISTRATIONS THROUGH THE WORKPLACE PARTNERSHIP FOR LIFE (WPFL) HOSPITAL ORGAN DONATION CAMPAIGN.
