“The by-laws were amended since the last 990 was filed. Proposed amendments to amended and restated by-laws of epilepsy foundation of florida, inc., dated june 25, 2010 the governance committee hereby proposes the following amendments to the bylaws: amendment 1: an amendment to article iv, section 1, to clarify the permitted number of directors current language: section 1. Number. The corporation shall have a minimum of twelve (12) voting directors and a maximum of thirty-one (31). The number of directors of the corporation shall be fixed from time to time, within the limits set forth above and within any limits set forth in the articles of incorporation, by resolution of the board of directors. Any decrease in the number of directors shall not shorten the term of an incumbent director. Proposed amendment: section 1. Number.
