Governance Explanations

Form 990, Part VI, Section A, Line 6

A member of the foundation is defined as follows: (i) an individual who made a financial contribution to the foundation in at least one of the last two fiscal years prior to the annual meeting; (ii) an individual who has made contributions totaling more than $100,000 since the foundation's inception; and (iii) an individual who is a member of the legacy society.

Form 990, Part VI, Section A, Line 7A

All members are eligible to vote on selecting the board of trustees and may elect up to 90 of the trustees. The board of trustees vote to elect the governing board.

Form 990, Part VI, Section A, Line 7B

All decisions made by the governing board must be approved by the board of trustees membership and ratified at the annual meeting.

Form 990, Part VI, Section B, Line 11B

A copy of the draft form 990 is e-mailed to voting and certain other board members for an independent review. Board members meet subsequently to make inquiries, discuss questions they may have on the tax return, and make or recommend changes. After all inquiries are cleared and adjustments made (if any), the tax preparer submits a second draft to the board for final review and approval.

Form 990, Part VI, Section B, Line 12C

All officers, directors and key employees are required to disclose any conflict of interest and annually submit documentation of any conflicts to the governing board.

Form 990, Part VI, Section B, Line 15

The governing board reviews and approves the compensation of employees. The compensation is included in the budget, which is approved by the board and documented as such in the board minutes.

Form 990, Part VI, Section C, Line 19

Requests may be made directly to the organization for review of its documents. Persons making the request may be asked to visit the office to review the documents or they may be sent a copy of the requested documents. Digital copies of the form 990 are also available on guidestar.org.

Supplemental Narrative

Additional Explanations

FORM 990, PART XI, LINE 9:

Change in value of beneficial interest in trust 38,756.

Financial Statement Notes

PART X, LINE 2:

The foundation evaluates its uncertain tax positions in accordance with fasb asc 740, income taxes, which states that management's determination of the taxable status of an entity, including its status as a tax-exempt entity, is a tax position subject to the standards required for accounting for uncertainty in income taxes. Management does not believe that the foundation has any significant uncertain tax positions that would be material to the financial statements. The foundation remains subject to examinations by major tax jurisdictions for tax years ending after 2016.

PART XI, LINE 2D - OTHER ADJUSTMENTS:

Change in value of beneficial interest in trust 38,756.

PART V, LINE 4 - ENDOWMENT FUNDS:

Permanently restricted endowment funds - the principal is to be maintained in perpetuity and invested for the purpose of producing income and long-term growth of principal.
