A member of the Foundation is defined as follows: 1. An individual who made a financial contribution to the Foundation in at least one of the last two fiscal years prior to the annual meeting; 2. An individual who has made contributions totaling more than $100,000 since the Foundation's inception; and 3. An individual who is a member of the Legacy Society.

All members are eligible to vote on selecting the Board of Trustees and may elect up to 90 of the Trustees. The Board of Trustees vote to elect the governing board.

All decisions made by the governing board must be approved by the Board of Trustees membership and ratified at the annual meeting.

A copy of the draft Form 990 is e-mailed to voting and certain other members for an independent review. Board members meet subsequently to make inquiries, discuss any questions rising from their review of the tax return, and make or recommend changes. After all inquiries are cleared and adjustments made (if any), the tax preparer submits a second draft to the Board for final review and approval.

Financial Statement Notes

Part V, Line 4:

Permanently restricted endowment funds - The principal is to be maintained in perpetuity and invested for the purpose of producing income and long-term growth of principal. The Foundation considers various factors, including the perpetuation of the endowment, the long-term and short-term purposes of the Foundation, the intent of the funds, the terms of the instrument, general economic conditions, the effect of inflation and deflation, the Foundation's other resourses, before making a determination to expend endowment funds.

Part X, Line 2:

The Foundation is a not-for-profit organization and is exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code. Accordingly, no provision for income taxes has been included in the Foundation's financial statements. The Foundation follows FASB ASC 740-10, Accounting for Uncertainty in Income Taxes. This pronouncement seeks to reduce the diversity in practice associated with certain aspects of measurement and recognition in accounting for income taxes. It prescribes a recognition threshold and measurement attribute for financial statement recognition and measurement of a tax position that an entity takes or expects to take in a tax return. An entity may only recognize or continue to recognize tax positions that meet a "more likely than not" threshold. The Foundation assesses its income tax positions based on management's evaluation of the facts, circumstances, and information available at the reporting date. The Foundation uses the prescribed more likely than not threshold when making its assessment. The Foundation has not accrued any interest expense or penalties related to tax positions. There are currently no open Federal or State tax years under audit.

The Foundation considers various factors, including the perpetuation of the endowment, the long-term and short-term purposes of the Foundation, the intent of the funds, the terms of the instrument, general economic conditions, the effect of inflation and deflation, the Foundation's other resourses, before making a determination to expend endowment funds.
IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt1The Foundation is a not-for-profit organization and is exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code. Accordingly, no provision for income taxes has been included in the Foundation's financial statements. The Foundation follows FASB ASC 740-10, Accounting for Uncertainty in Income Taxes. This pronouncement seeks to reduce the diversity in practice associated with certain aspects of measurement and recognition in accounting for income taxes. It prescribes a recognition threshold and measurement attribute for financial statement recognition and measurement of a tax position that an entity takes or expects to take in a tax return. An entity may only recognize or continue to recognize tax positions that meet a "more likely than not" threshold. The Foundation assesses its income tax positions based on management's evaluation of the facts, circumstances, and information available at the reporting date. The Foundation uses the prescribed more likely than not threshold when making its assessment. The Foundation has not accrued any interest expense or penalties related to tax positions. There are currently no open Federal or State tax years under audit.
