The Board subsequently makes a determination on the issue. The conflict must be raised prior to any director voting on an issue for which they have a potential conflict.

The Board of Directors of the Clearwater Marine Aquarium (CMA) is responsible for determining the compensation for its Chief Executive Officer (CEO), who is a member of the Board, and for compensating him based on his performance as compared to specific goals and objectives established for him by the Board of Directors. The By-laws of the CMA establish the Executive Committee of the Board of Directors as having responsibility for establishing criteria and objectives for CEO performance and annually evaluating and determining achievement of performance of the CEO and levels of incentive payouts for both qualitative and quantitative objectives. The Executive Committee periodically obtains and reviews market survey data commissioned from an independent consultant from which data is obtained for comparable positions at comparable charitable nonprofit organizations. In addition to this market survey data, the Executive Committee periodically reviews the Form 990's from comparable organizations to evaluate and determine the reasonableness of CMA's compensation for its CEO and senior level staff. The Executive Committee annually presents the recommended compensation, both salary and bonus, of the CEO to the full Board who approves the compensation.

Financial Statement Notes

Part V, Line 4:

The Organization's third-party endowments consist of two externally managed funds established for a variety of purposes. The endowments are both donor-restricted endowment funds. The funds are held by third-party trustees and therefore the Organization has no direct influence over the investment policy of either fund. The Organization classifies as permanently restricted net assets the original value of the gifts donated to the permanent endowments. As required by GAAP, net assets associated with endowment funds are classified and reported based on the existence or absence of donor-imposed restrictions. The Organization's policy is to appropriate interest and dividends received from these endowments for operations. Therefore, interest and dividend income is reported as unrestricted on both the combined statement of activities and statement of activities. The Board of Directors of the Organization has interpreted the Florida Uniform Prudent Management of Institutional Funds Act (FUPMIFA) as requiring the preservation of the fair value of the original gift as of the gift date of the donor-restricted endowment funds absent explicit donor stipulations to the contrary. As a result of this interpretation, the Organization classifies as permanently restricted net assets (a) the original value of gifts donated to the permanent endowment, (b) the original value of subsequent gifts to the permanent endowment and (c) accumulations to the permanent endowment made in accordance with the direction of the applicable donor gift instrument at the time the accumulation is added to the fund. All permanently restricted net assets consist of perpetual trusts held by third parties. For all endowment funds, the donors have stipulated that additional accumulation of funds above and beyond the permanent endowment are unrestricted as to purpose, however the Organization reports the accumulation of funds as temporarily restricted net assets until the funds are distributed by the trustees to the Organization and appropriated by the Board of Directors.

Part X, Line 2:

The Organization has been recognized by the Internal Revenue Service as a tax-exempt organization described in Section 501(c)(3) of the Internal Revenue Code of 1986 and has been classified as an organization that is not a private foundation under Section 509(a). The Organization accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for all uncertain tax positions. The Organization has identified its tax status as a tax-exempt entity as its only significant tax position; however, the Organization has determined that such tax position does not result in an uncertainty requiring recognition. The Organization is not currently under examination by any taxing jurisdiction. The Organization's federal returns are generally open for examination for three years following the date filed.

IRS990/Desc0Education:In FY 2024, Education Department hosted the Creepy Sea Cavern event as well as the Blizzard Bay event where we opened the Education floor to the public. The Education team taught guests about creepy sea creatures in the depths of the oceans or arctic animals and connected them back with our resident animals at Clearwater Marine Aquarium.For the summer of 2024, the department educated over 1,300 summer campers on marine conservation and stewardship in the R.O. Jacobson Education Center. The summer campers receive a hands-on, educational summer camp experience with lessons covering marine life and conservation. Students are then able to make real-world connections with the environment through offsite field trips, kayaking, and snorkeling adventures.For 2024, nearly 10,000 students and guests participated in educational programming onsite including new programming; such as, Junior Career Quest and Night at the Aquarium. In addition, the Aquarium continued to provide programming to long-standing program partners specializing in travel education.For the 11th year in a row, the "Trash to Toys" contest was conducted to celebrate Earth Day. Local Pinellas and Hillsborough County schools are invited to use trash found in their classroom to create an environmental enrichment device or toy for our resident dolphins. The winning class receives a virtual field trip for their classroom by a Clearwater Marine Aquarium educator.The education continued outside our four walls and into the community. The Education Department attended several events and festivals during 2024. Our educators also participated in the Great American Teach-In where we visited over 24 classrooms and engaged with over 1,300 students. In addition, over 27,000 guests were educated on the Aquarium's Eco-boat tours that discuss the marine environment in Clearwater Bay.
