“The organization is organized to promote the interests of public broadcasters. It provides its member stations various services, including statewide underwriting sales, education, governmental affairs updates and information, as well as provides group purchasing. The 19 member board of directors is made up of representatives from each of its independent member stations.”

“The board is elected based on the vote of its nineteen member station representatives. Seven of the nineteen member stations have two votes, while the remaining twelve stations have a single vote. The stations members with two votes have two licenses, one for tv and one for fm. The stations members with one vote have a single license.”

“The nineteen member board, which is comprised of representatives from its nineteen member stations, vote to approve all decisions of the board.”

“The return is reviewed by the executive committee of the board of directors.”

“The conflict of interest was adopted during the year ending september 30, 2009 and includes a provision to annually sign a statement which affirms receipt of a copy of the policy, the members understanding and agreement to comply with the policy. In the event that the board has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, a subsequent inquiry and further investigation, as warranted by the circumstances will be initiated. If such conflicts are determined to exist, the board shall take appropriate disciplinary and corrective action.”

“Written employee contracts are negotiated and updated every three years for a key employee and the executive vice president/chief operating officer. The key employee contract is reviewed and approved by the executive committee. The contract for the executive vice president/chief operating officer is reviewed by the treasurer and executive committee prior to being forwarded to the board for approval. Documentation of this process is maintained in the minutes, personnel file records and written contracts.”
