Governance Explanations

Form 990 governing body review Part VI line 11

A copy of the Form 990 is sent to each board member for review and included in the next board meeting agenda for discussion. At the board meeting the form is reviewed, discussed and any questions or concerns are addressed. Meeting minutes are used to track all comments and questions concerning the 990 return.

During each board meeting, we thoroughly discuss each of our board members activities regarding the organization. During this time, we keep in mind whether any of their activities would be a conflict of interest based on the conflict of interest form each of our board members sign annually for our 990 filing.

To determine the compensation amounts for our executive director we begin with a review of the salaries being paid to comparable roles at other organizations. With these figures and a review of last years salaries, the president and treasurer determine the appropriate salary and whether an increase is required. Once this figure is calculated, it is presented to the Board where questions and possible adjustments can be made and approved. All of the comments and adjustments are contemporaneously documented during each of our board meetings.

IRS990/Desc0GFAA Gallery Exhibitions: The Gallery hosted 15 onsite exhibitions in 2024 with online versions of each exhibition, and provided programming to expand audience viewing. The exhibits featured 250 artists showing varied pieces of work; awards and recognition were given to recognize works of merit. Artists are also featured in the gift shop where they can exhibit a collection of small paintings and 3-D items, such as sculptures, ceramics, cards, and jewelry.

We held our annual Studio Tour where visitors can tour various artists studios; continued the collaboration with the Friends of Elementary Arts Exhibition, offered one month of in-kind week-long exhibition space to artists for solo or curated show opportunities, held our national biennial nation juried exhibition based on a book in collaboration with the Lynx Bookstore, and hosted an Afro-futurism exhibition with the University of Florida, and held a Rosewood Memorial exhibition with the Real Rosewood Foundation, Inc.
