“Board-Delegated Power Committees of Directors; Executive Committee: Pursuant to Section 14-3-825 of the Act, the Board of Directors, by resolution passed by a majority of the Directors then in office, may designate one or more other committees to have to the extent provided in such resolution. “Provident is exempt from federal income tax under Section 501(a) of the Code, as an organization described in Section 501(c)(3) of the Code. Provident is not subject to federal income taxes, except for income from unrelated business activities, if any. All affiliates of Provident, with the exception of MCFH and PDGH, are disregarded entities for federal income tax purposes. MCFH, PDGH, PSLR and UMass Boston are limited liability companies, whose economic sole member is Provident, which are taxed as a partnership and tax exempt for federal income tax purposes. U.S. GAAP prescribes recognition thresholds and measurement attributes for the consolidated financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. Tax benefits will be recognized only if the tax position is more-likely-than-not sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized will be the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the more-likely-than-not test, no tax benefit will be recorded. Provident is no longer subject to examination by U.S. federal taxing authorities for years before 2012 and for all state income taxes through 2012. Provident does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. Provident would recognize interest and penalties related to unrecognized tax benefits in interest and income tax expense, respectively. Provident has no amounts accrued for interest or penalties as of December 31, 2016 and 2015.”
