The board of trustees of meadows regional healthcare alliance, inc. (alliance), the parent organization, has the sole power to elect or appoint the trustees of the filing organization's board and principal executive officers.

The board of trustees of alliance, the parent organization, has the sole power to elect or appoint the trustees of the filing organization's board as well as the power to apppoint the organization's principal executive officers.

The alliance board of trustees has the full power and authority to review and approve capital and operating budgets of income and expenditures of the filing organization and to exercise such other supervision and control over the affairs and property of the entity as deemed necessary or desirable to ensure the tax exempt functions of the corporation are carried out. Additionally, the approval of the alliance board is required to alter, amend, repeal or adapt new bylaws.

The form 990 and all related schedules are reviewed by mrmc's audit committee before filing with the internal revenue service. The board members of the governing body will receive a copy of the form 990 through the organization's web portal for their review. Prior to filing, mrmc's, the supported organization, cfo reviews the return for financial and disclosure accuracy, and will respond to questions from board members.

All members of the board of trustees and the organization's officers annually complete a written policy of conflict of interest. These are kept at the office of the administrative assistant for the ceo. Annual statements are typically done in the month of january. The ceo and general counsel for mrmc monitor conflicts, attend each board meeting, and are responsible for addressing known conflicts, and requesting trustee members to refrain from voting on declared conflicts. For substantial conflicts, the board members are asked not to deliberate, to abstain from voting, and are requested to remove themselves from the discussions of the matter.

Part ix, statement of functional expenses consolidated management and general services the filing organization is a member of a comprehensive integrated healthcare network. Essential management and general services are provided by mrmc to the related organizations. The costs of such services remain on the books of mrmc.

Financial Statement Notes

Schedule D, Page 3, Part X

The alliance and each reporting entity are not-for-profit corporations that have been recognized as tax-exempt pursuant to section 501(c)(3) of the internal revenue code. The alliance applies accounting policies that prescribe when to recognize and how to measure the financial statement effects of income tax positions taken or expected to be taken on its income tax returns. These rules require management to evaluate the likelihood that, upon examination by the relevant taxing jurisdictions, those income tax positions would be sustained. Based on that evaluation, the alliance only recognizes the maximum benefit of each income tax position that is more than 50% likely of being sustained. To the extent that all or a portion of the benefits of an income tax position are not recognized, a liability would be recognized for the unrecognized benefits, along with any interest and penalties that would result from disallowance of the position. Should any such penalties and interest be incurred, they would be recognized as operating expenses. Based on the results of management's evaluation, no liability is recognized in the accompanying balance sheet for unrecognized income tax positions. Further, no interest or penalties have been accrued or charged to expense as of june 30, 2017 and 2016 or for the years then ended. The alliance's tax returns are subject to possible examination by the taxing authorities. For federal income tax purposes, the tax returns essentially remain open for possible examination for a period of three years after the respective filing deadlines of those returns. Meadows healthcare alliance, inc. (alliance) is the holding corporation established and vested with primary organizational authority over affiliate corporations, including the filing organization.
