The foundation must obtain written approval from the system for certain matters such as the amendment of the joint operating agreement or articles of incorporation, appointment of a trustee, approval of an annual budget, and other matters significant to the foundation's structure or business activities.

A copy of the form 990 is provided to the finance committee of the board of trustees and made available to the full board for review prior to filing. The organization's management team performs a complete detailed review of all financial and disclosure data prior to filing the return with the irs.

At least annually, and as deemed necessary, the conflicts of interest policy is reviewed to determine if any changes or enhancements are needed. The annual disclosures are provided to the board chair and executive director/vp and are reviewed by the st. Joseph's/candler health system's corporate compliance officer. If any conflicting interest is identified, the board chairman will discuss with the board to determine further actions needed. The board chair may ask the interested person to leave the meeting during discussion of the matter that gives rise to the potential conflict. If asked, the interested person shall leave the meeting, but may make a statement or answer any questions on the matter before leaving. The interested person will not vote on the matter that gives rise to the potential conflict and the board or board committee must approve the transaction or arrangement by majority vote of the board members present at a meeting that has a quorum, not including the vote of the interested person.

St. Joseph's foundation of savannah, inc. Primarily supports st. Joseph's hospital, inc., a 253-bed, acute care hospital in savannah, georgia, which serves a metropolitan population base of approximately 379,000 and the surrounding counties. For fiscal year 2024, st. Joseph's foundation raised funds totaling 1,077,418 and provided grants of 390,299 to further the tax-exempt purpose of st. Joseph's hospital and 347,270 to the related tax-exempt entities of st. Joseph's/candler health system, inc. St. Joseph's hospital furthers its exempt purpose by promoting health in the community by providing medical education to patients in the community, conducting research, and implementing technology that not only provides the latest in treatment, but allows patients to receive high quality of care in their own community and allows the hospital to continually improve patient safety by implementing technology that prevents medication errors, etc.

The hazel o. Brunson scholarship fund provides scholarship assistance to offset the cost of graduate-level education for individuals in the nursing field. Scholarships shall be given on an annual basis, and shall be awarded once each calendar year by the foundation. The foundation agrees to keep such money in a separate account, segregated from other funds of the foundation, to be invested and reinvested and distributed in accordance with the terms of the agreement. Other funds are to be used to further nursing education by means of an annual nursing lecture series, as well as for capital purchases and other healthcare operational needs.

The foundation is a tax-exempt corporation as described in section 501(c) (3) of the internal revenue code (code). The foundation is exempt from federal income taxes under section 501(a) of the code and has been classified as a publicly supported charitable organization under section 509(a)(1) of the code. Contributions to the foundation are deductible for income tax purposes to the maximum extent allowed under the code. The foundation applies accounting policies that prescribe when to recognize and how to measure the financial statement effects of income tax positions taken or expected to be taken on its income tax returns. These rules require management to evaluate the likelihood that, upon examination by the relevant taxing jurisdictions, those income tax positions would be sustained. Based on that evaluation, the foundation only recognizes the maximum benefit of each income tax position that is more than 50% likely of being sustained. To the extent that all or a portion of the benefits of an income tax position are not recognized, a liability would be recognized for the unrecognized benefits, along with any interest and penalties that would result from disallowance of the position. Should any such penalties and interest be incurred, they would be recognized as operating expenses. Based on the results of management's evaluation, no liability is recognized in the accompanying statements of financial position for unrecognized income tax positions. Further, no interest or penalties have been accrued or charged to expense as of june 30, 2024 and 2023 or for the years then ended. The foundation's tax returns are subject to possible examination by the taxing authorities. For federal income tax purposes, the tax returns essentially remain open for possible examination for a period of three years after the respective filing deadlines of those returns.

UNDER THE JULY 2011 JOINT OPERATING AGREEMENT (JOA) (WHICH SERVES AS THE ORGANIZATION'S BYLAWS), ALL POWERS OF THE FOUNDATION ARE TO BE EXERCISED BY ITS BOARD OF TRUSTEES, PROVIDED THAT THE FOUNDATION BOARD OBTAINS THE WRITTEN APPROVAL OF THE MEMBER BEFORE CERTAIN ACTIONS OF THE BOARD BECOME FINAL AND CONCLUSIVE. THESE ACTIONS INCLUDE AMENDING THE JOA, AMENDING THE ARTICLES OF INCORPORATION, APPOINTING A TRUSTEE (OTHER THAN EX-OFFICIO TRUSTEES AND DESIGNATED TRUSTEES), APPROVAL OF THE FOUNDATION'S ANNUAL BUDGET AND APPROVAL OF ANY TRANSFER OR DISTRIBUTION TO ANY ORGANIZATION OTHER THAN ST. JOSEPH'S HOSPITAL (SJH), AMONG OTHER ACTIONS. THUS, AS THE SOLE MEMBER, SYSTEM HAS SUBSTANTIAL CONTROL OVER THE MANAGEMENT OF THE FOUNDATION. THE FOUNDATION BOARD SHALL BE COMPRISED OF 11 TRUSTEES. THE CEO OF SYSTEM IS AN EX-OFFICIO MEMBER. OTHER EX-OFFICIO MEMBERS OF THE BOARD INCLUDE THE CHAIRMAN AND VICE CHAIRMAN OF THE SYSTEM BOARD. TWO TRUSTEES ARE APPOINTED AND MAY BE REMOVED BY THE SISTERS OF MERCY BALTIMORE REGIONAL COMMUNITY. THE REMAINING 6 MEMBERS OF THE BOARD ARE SELF-APPOINTED BY THE TRUSTEES OF THE FOUNDATION (SUBJECT TO THE WRITTEN APPROVAL OF SYSTEM). THUS AT LEAST 2 MEMBERS OF THE SYSTEM BOARD OVERLAP WITH THE BOARD OF THE FOUNDATION, 6 ARE APPOINTED SUBJECT TO THE WRITTEN APPROVAL OF THE SYSTEM BOARD AND 1 BOARD MEMBER OF THE FOUNDATION SERVES AS THE CEO OF SYSTEM. BRUNSON SCHOLARSHIP FUND PROVIDES SCHOLARSHIP ASSISTANCE TO OFFSET THE COST OF GRADUATE-LEVEL EDUCATION FOR INDIVIDUALS IN THE NURSING FIELD. SCHOLARSHIPS SHALL BE GIVEN ON AN ANNUAL BASIS, AND SHALL BE AWARDED ONCE EACH CALENDAR YEAR BY THE FOUNDATION. THE FOUNDATION AGREES TO KEEP SUCH MONEY IN A SEPARATE ACCOUNT, SEGREGATED FROM OTHER FUNDS OF THE FOUNDATION, TO BE INVESTED AND REINVESTED AND DISTRIBUTED IN ACCORDANCE WITH THE TERMS OF THE AGREEMENT. OTHER FUNDS ARE TO BE USED TO FURTHER NURSING EDUCATION BY MEANS OF AN ANNUAL NURSING LECTURE SERIES, AS WELL AS FOR CAPITAL PURCHASES AND OTHER HEALTHCARE OPERATIONAL NEEDS.
IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt1THE FOUNDATION IS A TAX-EXEMPT CORPORATION AS DESCRIBED IN SECTION 501(C) (3) OF THE INTERNAL REVENUE CODE (CODE). THE FOUNDATION IS EXEMPT FROM FEDERAL INCOME TAXES UNDER SECTION 501(A) OF THE CODE AND HAS BEEN CLASSIFIED AS A PUBLICLY SUPPORTED CHARITABLE ORGANIZATION UNDER SECTION 509(A)(1) OF THE CODE. CONTRIBUTIONS TO THE FOUNDATION ARE DEDUCTIBLE FOR INCOME TAX PURPOSES TO THE MAXIMUM EXTENT ALLOWED UNDER THE CODE. THE FOUNDATION APPLIES ACCOUNTING POLICIES THAT PRESCRIBE WHEN TO RECOGNIZE AND HOW TO MEASURE THE FINANCIAL STATEMENT EFFECTS OF INCOME TAX POSITIONS TAKEN OR EXPECTED TO BE TAKEN ON ITS INCOME TAX RETURNS. THESE RULES REQUIRE MANAGEMENT TO EVALUATE THE LIKELIHOOD THAT, UPON EXAMINATION BY THE RELEVANT TAXING JURISDICTIONS, THOSE INCOME TAX POSITIONS WOULD BE SUSTAINED. BASED ON THAT EVALUATION, THE FOUNDATION ONLY RECOGNIZES THE MAXIMUM BENEFIT OF EACH INCOME TAX POSITION THAT IS MORE THAN 50% LIKELY OF BEING SUSTAINED. TO THE EXTENT THAT ALL OR A PORTION OF THE BENEFITS OF AN INCOME TAX POSITION ARE NOT RECOGNIZED, A LIABILITY WOULD BE RECOGNIZED FOR THE UNRECOGNIZED BENEFITS, ALONG WITH ANY INTEREST AND PENALTIES THAT WOULD RESULT FROM DISALLOWANCE OF THE POSITION. SHOULD ANY SUCH PENALTIES AND INTEREST BE INCURRED, THEY WOULD BE RECOGNIZED AS OPERATING EXPENSES. BASED ON THE RESULTS OF MANAGEMENT'S EVALUATION, NO LIABILITY IS RECOGNIZED IN THE ACCOMPANYING STATEMENTS OF FINANCIAL POSITION FOR UNRECOGNIZED INCOME TAX POSITIONS. FURTHER, NO INTEREST OR PENALTIES HAVE BEEN ACCRUED OR CHARGED TO EXPENSE AS OF JUNE 30, 2024 AND 2023 OR FOR THE YEARS THEN ENDED. THE FOUNDATION'S TAX RETURNS ARE SUBJECT TO POSSIBLE EXAMINATION BY THE TAXING AUTHORITIES. FOR FEDERAL INCOME TAX PURPOSES, THE TAX RETURNS ESSENTIALLY REMAIN OPEN FOR POSSIBLE EXAMINATION FOR A PERIOD OF THREE YEARS AFTER THE RESPECTIVE FILING DEADLINES OF THOSE RETURNS.
