Governance Explanations

Form 990, Part VI, Line 11B Review of form 990 by governing body

The form 990 was reviewed by the audit committee of zoo atlanta's board of directors at its july 31, 2025 meeting. Members of the zoo's accounting firm were present at the meeting to discuss the return and answer any questions posed by the committee. Authority for the audit committee to review the return was granted by the executive committee of zoo atlanta's board of directors in its november 18, 2008 meeting. Such authority applies to all future tax years until the executive committee votes otherwise. Due to this arrangement, a copy of form 990 was not provided to the entire board of directors before filing.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

The executive compensation committee of zoo atlanta's board of directors reviewed salary data from comparable industry sources and multiple independent salary surveys. The committee agreed that the comparable data was appropriate and that it supported the compensation level authorized for the ceo. The executive committee approved the compensation level upon recommendation from the executive compensation committee. This discussion occurs on an annual basis. Other officers and/or key employees' compensation is determined by recommendations set forth by the vice-president, human resources and is comprised of the result of collective salary information provided through wage and salary surveys, data comparable to professionals in the atlanta metropolitan area, and from benchmarking other similar organizations and the american zoo & aquarium association. Each salary recommendation is reviewed and approved by the ceo.

Schedule D, Part V, Line 4 Intended uses of endowment funds

Zoo atlanta utilizes the endowment funds to support conservation initiatives and research projects to preserve species currently represented in zoo atlanta's animal collection.

Schedule D, Part X, Line 2 FIN 48 (ASC 740) footnote

Atlanta-fulton county zoo, inc. And zoo georgia are non-profit organizations and are exempt under section 501(c)(3) of the internal revenue code (the code) from federal, state and local income taxes, whereby only unrelated business income, if any, as defined by section 512(a)(1) of the code, is subject to federal income tax. These entities did not have any material unrelated business income tax for december 31, 2024 and 2023. Savanna hall manager elected a 168(h) election for tax purposes, and was therefore subject to income taxes. Prior to the entity's termination (note 15), deferred income tax assets and liabilities were computed for differences between the financial statement and income tax basis of assets and liabilities of savanna hall manager that will result in taxable or deductible amounts in the future. Deferred income tax asset and liability computations are based on enacted tax laws and rates applicable to periods in which differences are expected to affect taxable income. A valuation allowance was established, when necessary, to reduce deferred income tax assets to the amounts expected to be realized. Income tax expense is the income tax payable or refundable for the period plus or minus the change during the period in deferred income tax assets and liabilities. Savanna hall landlord and savanna hall master tenant are limited liability companies. In lieu of income taxes, the members are taxed on their proportionate share of income of savanna hall landlord and savanna hall master tenant. Zoo atlanta's proportional share of income or loss is passed through to savanna hall manager and subsequently taxed. Management of the zoo considers the likelihood of changes by taxing authorities in its income tax returns and recognizes a liability for or discloses potential significant changes that management believes are more likely than not to occur, including changes to the zoo's status as a non-profit entity. Management believes the zoo met the requirements to maintain its tax-exempt status and has appropriately reported and filed income subject to unrelated business income tax. The provision for unrelated business income taxes is reported as an expense in these consolidated financial statements. The zoo's income tax returns for the past three years are subject to examination by tax authorities, and may change upon examination.
