Governance Explanations

Form 990, Part VI, Section B, Line 11

The president and director of accounting will do the initial review of the form 990. Final review and approval will be with the finance committee and the executive committee of the board of directors.

Form 990, Part VI, Section B, Line 12C

Any corporate transaction in which a director has a direct or indirect interest must be authorized, approved, or ratified in good faith by a majority, not less than two, of the directors who have no direct or indirect interest in the transaction even though less than a quorum; provided, however, no such transaction shall be authorized, approved, or ratified by a single director. For purposes of this transaction, a director has an indirect interest in a transaction if another entity in which he has a material financial interest of in which he is a general partner is a party to the transaction; or another entity of which he is a director, officer, or trustee is a party to the transaction and the transaction is or should be considered by the board.

Form 990, Part VI, Section B, Line 15

The board reviews and approves compensation for the president and key employees. Marbles relies on salary surveys and other relevant industry data obtained from sources such as the association of children's museums and north carolina center for nonprofits.

Form 990, Part VI, Section C, Line 19

All disclosures and financial statements are available upon request at our office. The form 990 is available online through guidestar.org.

Financial Statement Notes

PART X, LINE 2:

The museum is exempt from income taxes as a not-for-profit organization under irs code section 501(c)(3). During the years ended june 30, 2014 and 2013, the museum reported no unrelated business taxable income which is defined by the irs as gross income derived from any unrelated trade or business that is not substantially related to the organization's tax-exempt purpose. Accordingly, no provision for income taxes has been recorded. The museum has adopted provisions of the fasb standard on accounting for uncertainty in income taxes (asc 740-10-25). Under this standard, an organization must recognize the tax benefit associated with tax taken for tax return purposes when it is more likely than not, based on technical merits, that the position will be sustained upon examination. The implementation had no impact on the museum's financial statements. The museum does not believe there are any material uncertain tax positions and, accordingly, it will not recognize any liability for unrecognized tax benefits. For the years ended june 30, 2014 and 2013, there were no interest or penalties recorded or included in the financial statements. The museum is subject to routine audits by taxing authorities; however there are currently no audits for any tax periods. The museum believes it is no longer subject to incur tax examinations for years prior to 2011.
