“No contract or other transaction between the HRA and one or more of its Directors or Officers, corporation, firm, asssociation or other entity in which one or more of the Directors or Officers of the HRA are directors, trustees, principals or officers, or have a substantial finanical interest, shall be approved by a vote of the Board or any committee thereof, if such Director or Directors or Officer or Officers (any and each of whom is hereinafter call "interested party") is or are present at the meeting of the Boad, or of a committee thereof, which authorizes such contract or transaction, or his, her or their votes are counted for such purpose, unless the material facts as to the interest of each interested party in contract or transaction and as to any common directorship, officership or other interest are disclosed in good faith to the Board or committee, and the Board or committee authorizes such contract or transaction by unanimous vote without counting the vote or votes of the interested party even though the interested Directors are less than a quorum.”

“The Haw River Assembly subscribed to the NC Center for Non-Profits "Salaries and Benefits in North Carolina's Nonprofit Sector" to look at salaries paid to Executive Directors in comparable positions.”

“The Executive Director may be paid reasonable compensation as the Board of Directors or it's Executive Committee may authorize and direct.”
