“Porter-leath's president and chief financial officer, working with the organization's independent auditors, provide a draft form 990 to the audit committee for review as soon as practicable following the end of the fiscal year and in all cases prior to filing with the internal revenue service. The audit committee reviews the draft form 990 for accuracy and completeness, including use of an executive review checklist and related guidance. Following audit committee review, the president distributes the form 990 to the full board of directors prior to filing. The president is responsible for ensuring that the form 990 is filed timely and in compliance with applicable regulatory requirements. Porter-leath also makes its form 990 publicly available through its website as soon as reasonably practicable after completion.”

Potential conflicts, related party transactions, and compensation matters are reviewed and approved by disinterested board or committee members, with actions and determinations recorded in meeting minutes. The governing board also periodically reviews compensation arrangements and organizational relationships to ensure consistency with charitable purposes, arm's length standards, and federal tax exemption requirements.”

The process included evaluation of performance, review of salary and benefits, verification of independence and absence of conflicts of interest, and final approval by the full board, consistent with irs rebuttable presumption requirements under internal revenue code section 4958.”
