Governance Explanations

Form 990, Part VI, Section B, Line 11B

A) working with the agency's auditors, the president and cfo will submit the draft form 990 for review by the audit committee as soon as possible after the end of the fiscal year, but in any event prior to filing with the internal revenue service (irs). Along with the draft form 990, the cfo and president will work with the audit committee to review the executive review guidelines for the irs form 990, and to complete the form 990 executive review checklist, both of which are helpful in assisting to review the 990 for accuracy and completeness. B) after review by the audit committee, the president will distribute a copy of the form 990 to the full board prior to filing with the irs. C) the president will cause porter-leath to file an annual form 990 that is accurate, complete, timely and in compliance with regulatory requirements by the statutory filing date, without extension to the extent possible. D) the president will cause porter-leath to disclose to the general public, through its website, the form 990 and the agency's audited financial statements as soon as reasonably practicable after the reports are completed and the audited financial statements are available. E) consistent with the requirements of the internal revenue code and applicable regulations, copies of porter-leath's form 990 will be made available upon request in a timely manner, subject to the charges permitted by law, to any individuals who request it.

Form 990, Part VI, Section B, Line 12C

Annually, the conflict of interest policy is reviewed and readopted by the board of directors. A disclosure form is completed by the board of directors members and key staff annually following this board review. Forms are reviewed by the board chair and president for conflicts so members and key staff maintain the pledge made in their disclosure form.

Form 990, Part VI, Section B, Line 15A

Policy: it is the policy of porter-leath for the board of directors to set the president's salary each year based on comparable, independent sources. Purpose: to provide a fair yet reasonable and not excessive compensation for the president. The board of directors has delegated the responsibility of setting the president's salary to a committee that includes the immediate past chair, the current chair and the vice chair of the board ("committee"). Each year, the committee evaluates the president on his/her performance, and asks for his/her input on matters of performance and compensation. Board approval. The committee will obtain research and information and approve compensation (salary and benefits) of the president based on a review of comparability data. For example, the committee will secure data that documents compensation levels and benefits for similarly qualified individuals in comparable positions at similar agencies. This data may include the following: 1. Salary and benefit compensation studies by independent sources; 2. Written job offers for positions at similar agencies; 3. Documented telephone calls about similar positions at both nonprofit and for-profit agencies; 4. Information obtained from the irs form 990 filings of similar agencies. Concurrent documentation. To approve the compensation for the president, the committee must document how it reached its decisions, including the data on which it relied, in minutes of the meeting during which the compensation was approved. Documentation will include: 1. A description of the compensation and benefits and the date it was approved; 2. The members of the committee who were present during the discussion about compensation and benefits, and the results of the vote; 3. A description of the comparability data relied upon and how the data was obtained; and 4. Any actions taken (such as abstaining from discussion and vote) with respect to consideration of the compensation by anyone who is otherwise a member of the board but who had a conflict of interest with respect to the decision on the compensation and benefits. Independence in setting compensation. The chair of the board of directors, who is a volunteer and not compensated by the nonprofit, will operate independently without undue influence from the president. No member of the committee will be a staff member, the relative of a staff member, or have any relationship with staff that could present a conflict of interest. Questions may be directed to the president and cfo.
