Governance Explanations

Form 990, Part VI, Section B, Line 11B

Organization's process to review form 990: the cfo compares the form 990 to prior years as well as the audited financial statements before signing and filing the return. It is then presented to the executive committee of the board of trustees at the next available meeting.

Form 990, Part VI, Section B, Line 12C

Enforcement of conflicts policy: in accordance with the resolution and conflict of interest policy adopted by the board of trustees of telfair museum of art, inc., on june 23, 2008, trustees, officers, and committee members and any other person given the power to vote at board or board committee meetings are requested to complete the annual disclosure statement for the conflict of interest policy and return it promptly to the telfair museum of art, inc.

Form 990, Part VI, Section B, Line 15

The director of the telfair museum of art is reviewed by the executive committee on an annual basis. The review is presented to the director through the president of the board of trustees. The review is composed of the following steps: 1) the board chairperson solicits input on performance from members of the board; 2) the executive committee discusses the director's performance and recommends a salary for the following year; 3) once completed, the review and compensation recommendation is made available to the full board for review and approval. For all other paid officers (directors) and key employees of the museum, the director reviews the annual salary survey compiled by the association of art museum directors (aamd) and adjustments are made at the discretion of the director.

Form 990, Part VI, Section C, Line 19

Telfair museum of art makes its governing documents, conflict of interest policy, and financial statements available to the public upon request. The form 990 is also available at www.guidestar.org.

Additional Explanations

FORM 990, PART XI, LINE 9:

Purchases for the collection, not capitalized -78,525.

Financial Statement Notes

PART III, LINE 1A:

Terms for not reporting assets per sfas 116 collections: the collections, which were acquired through purchases and contributions since the museum's inception, are not recognized as assets on the statements of financial position. The collections include two donated historic landmark homes, furnishings, paintings and fine and decorative art objects. All items in the collections are deemed inexhaustible assets. The board adheres to the association of art museum directors (aamd) guidelines and policies on deaccession and internal collections management. Unexpended proceeds from deaccessions are reflected in board-designated net assets until such time as proceeds are spent on new acquisitions.

PART III, LINE 4:

Collections and relation to exempt purpose: the collections include two historical homes, furnishings, paintings, and fine and decorative art objects.

PART V, LINE 4:

Intended uses for endowment funds: the museum's endowment consists of several funds established for a variety of purposes to include both income and collection purposes.

PART X, LINE 2:

The museum has been recognized by the internal revenue service (irs) as exempt from federal tax under section 501(c)(3) of the u.s. Internal revenue code, except for taxes on activities unrelated to its exempt purpose. Accordingly, no provision for income taxes has been made in the accompanying financial statements. Accounting principles generally accepted in the united states of america require management to evaluate the tax positions taken by the museum and recognize a tax liability (or asset) if the museum has an uncertain tax position that more likely than not would be sustained upon examination by the irs. Management has concluded that as of december 31, 2024, there are no uncertain tax positions taken or expected to be taken by the museum that would require recognition of a liability (or asset) or disclosure in the financial statements. Management believes that it is no longer subject to income tax examinations for years beginning prior to 2021.

PART XI, LINE 4B - OTHER ADJUSTMENTS:

Cogs on line 10b included in payroll expense in audited fs -133,766.

PART XII, LINE 2D - OTHER ADJUSTMENTS:
