Annually, all board members review the conflict of interest policy and sign a disclosure form including disclosure of any conflicts, or lack thereof. In addition, if conflicts arise during the course of a year, board members agree to disclose to board chair and executive director in writing.

The board of directors formed a subcommittee to determine the salary of zing's executive director, and based it on comparable salaries for similar nonprofit positions. The full board approved the recommendations of this subcommittee. The executive director sets the salaries for the rest of the staff members using the nonprofit coordinating committee of new york's survey of comparable nonprofit salaries as a guide. The board then approves these salaries as part of its annual approval of the zing budget.

In september 2014, the foundation's board of directors voted to enter into an agreement with true story theatre, inc., a massachusetts non-profit corporation. Under the agreement, all assets and program activities of the arts rising are to be transferred to the true story theatre. The assets of $52,303 were transferred effective december 31, 2014.

PART X, LINE 2:

The foundation accounts for uncertainty in income taxes in accordance with asc topic, income taxes. This standard clarifies the accounting for uncertainty in tax positions and prescribes a recognition threshold and measurement attribute for the financial statements regarding a tax position taken or expected to be taken in a tax return. The foundation has determined that there are no uncertain tax positions which qualify for either recognition or disclosure in the financial statements at june 30, 2015. The foundation's information returns are subject to examination by the federal and state jurisdictions and generally remain open for the most recent three years.
